/ / - Y/ • EXTRACT OF MINUTES OF MEETING OF CITY COUNCIL CITY OF OAK PARK HEIGHTS WASHINGTON COUNTY, MINNESOTA HELD NOVEMBER 25, 1985 Pursuant to due call and notice thereof, a regular meeting of the City Council of the City of Oak Park Heights, Washington County, Minnesota, was duly held at the Oak Park Heights Municipal Building, 14168 - 57th Street North in said municipality, on the 25th day of November, 1985, at 7:00 o'clock p.m. The following members were present: Frank Sommerfeldt, Mayor Barry Torgerson Joseph Carufel • Jack Doerr and the following were absent: Barbara O'Neal Also present was La Vonne Wilson, the City Administrator /Treasurer. Member Carufel introduced the following resolution and moved its adoption: A RESOLUTION OF THE CITY OF OAK PARK HEIGHTS, WASHINGTON COUNTY, MINNESOTA, ESTABLISHING WATER AND SEWER USAGE RATES EFFECTIVE JANUARY 1, 1986 WHEREAS, Ordinance Number 1001.07 of the City of Oak Park Heights vests in the Oak Park Heights City Council authority to establish by resolution, water usage rates and sewer usage • rates, billing regulations, and penalties for failure to pay; and • WHEREAS, the City Council of the City of Oak Park Heights has reviewed municipal utility budgets and projections for calendar year 1986 and has also reviewed the needs of the Public Works Department of the City of Oak Park Heights for said calendar year; and WHEREAS, the City Council of the City of Oak Park Heights is determined the best interests of the citizens and residents of the City of Oak Park Heights is served by an increase in the quarterly water and sewer services in the City of Oak Park Heights. NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Oak Park Heights, Washington County, Minnesota as follows: • 1. Water usage rates effective January 1, 1986, shall be and are hereby established as follows: $11.00 minimum charge up to 15,000 gallons per quarter. Usage in excess of 15,000 gallons per quarter will be billed at the rate of $.73 per 1,000 gallons. 2. Sewer usage rates shall be and are hereby established effective January 1, 1986, as follows: $17.00 minimum charge up to 15,000 gallons per quarter. Usage in excess of 15,000 gallons per quarter shall be billed at the rate of $1.14 per 1,000 gallons. 3. Past resolutions to the City of Oak Park Heights establishing charges for late payment of utility billings, fees for water meter connections; water meter testing fees, meter • reading fees, and fees for restoration of service after termination thereof, shall remain as is presently established by past resolutions of the City Council of the City of Oak Park Heights. Passed by the City Council of the City of Oak Park Heights, this day of .,. �P , 198. Member Torgerson then introduced the following resolution and moved its adoption: RESOLUTION NO. 85 -11 -30 RESOLUTION ADOPTING A HOUSING BOND PROGRAM FOR THE ISSUANCE OF MULTIFAMILY MORTGAGE REVENUE BONDS AND AUTHORIZING SUBMISSION OF SAME TO THE MINNESOTA HOUSING FINANCE AGENCY. WHEREAS, pursuant to the Minnesota Municipal Housing Act, Minnesota Statutes, Chapter 462C (the "Act "), the City of Oak Park Heights (the "City ") is authorized to adopt a housing plan . and carry out programs for the financing of multifamily housing which is affordable to persons of low and moderate income; and WHEREAS, the Act requires adoption of the housing plan after a public hearing held thereon after publication of notice in a newspaper of general circulation in the City at least thirty days in advance of the hearing; and WHEREAS, the Act requires adoption of a program after a public hearing held thereon after publication of notice in a newspaper of general circulation in the City at least fifteen days in advance of the hearing; and WHEREAS, by the passage of Ordinance No. 1700, the City Council of the City of Oak Park Heights has authorized the Washington County Housing and Redevelopment Authority (the "Authority ") to exercise on behalf of the City of Oak Park Heights, all of the powers conferred by Minnesota Statutes, Sections 462C.01 to 462C.07, including without limitation, the power to adopt a housing plan and program to issue and sell mortgage revenue bonds for single family housing and multifamily housing developments, provided that the City Council of the City of Oak Park Heights shall hold public hearings required under the Act with respect to housing plans or programs adopted pursuant to the Act, and the City Council of the City of Oak Park Heights must approve any housing plan or program prior to its submission to the Metropolitan Council or the Minnesota Housing Finance Agency, resprective; and WHEREAS, the City Council of the City has conducted a public hearing on and adopted a housing plan (the "Plan "), after publication of notice as required by the Act; and WHEREAS, in accordance with its requirements, the Plan provides for programs for the issuance of bonds to finance multifamily housing development which are affordable to persons and families of low and moderate income and are consistent with the goals and conditions and requirements of the Plan; and WHEREAS, the Act requires adoption of a program after a public hearing held thereon after publication of notice in a newspaper of general circulation in the City at least fiften days in advance of the hearing; and WHEREAS, the City has on this date conducted a public hearing on a housing bond program (the "Program "), after publication of notice as required by the Act; and WHEREAS, the Program provides for the issuance of multifamily housing revenue bonds in an amount not exceeding $1,200,000 to finance the acquisition of land and construction of a building for use as a 20 -unit multifamily rental facility to be located South of 57th Street North and East of Osman Avenue North 2 - • in the City and to be owned and operated by Swager Bros, Inc., a Minnesota corporation; and WHEREAS, the Act further requires submission of the Program to the Minnesota Housing Finance Agency (the "MHFA") for its approval; NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Oak Park Heights: 1. That the Program is hereby in all respects adopted. 2. That the Executive Director of the Authority is hereby authorized to submit the Program to the MHFA, and to do all other things and take all other actions as may be necessary or appropriate to carry out the Program in accordance with the Act and any other applicable laws and regulations. The meeting was adjourned. v La Vonne Wi son City Administrator /Treasurer 2 - 571B • RESOLUTION 85 -11 -29 RESOLUTION RECITING A PROPOSAL FOR A FINANCING PROGRAM FOR A MULTI - FAMILY RENTAL HOUSING DEVELOPMENT, GIVING PRELIMINARY APPROVAL TO THE PROJECT AND THE PROGRAM PURSUANT TO MINNESOTA STATUTES, CHAPTER 462C, AUTHORIZING THE ISSUANCE OF HOUSING REVENUE BONDS AND AUTHORIZING THE SUBMISSION OF FINANCING PROGRAM FOR APPROVAL TO THE MINNESOTA HOUSING FINANCE AGENCY AND AUTHORIZING THE PREPARATION OF NECESSARY DOCUMENTS AND MATERIALS IN CONNECTION WITH THE SAID PROJECT AND PROGRAM (LAWRENCE O. HAUGE PROJECT) WHEREAS, (a) Minnesota Statutes, Chapter 462C (the "Act) confers upon cities, or housing and redevelopment authorities or port authorities authorized by ordinance to • exercise on behalf of a city the powers conferred by the Act, the power to issue revenue bonds to finance a program for the purposes of planning, administering, making or purchasing loans with respect to one or more multi- family housing developments within the boundkries of the city; (b) The City has received from Lawrence O. Hauge (the "Developer ") a proposal that the City undertake a program to finance a Project hereinafter described, through the issuance of revenue bonds or obligations (in one or more series) (the "Bonds ") pursuant to the Act; • (c) The City desires to: facilitate . the development of rental housing within the community; encourage the development of affordable housing opportunities for residents of the City; encourage the development of housing facilities designed for occupancy.by persons of low or moderate income; encourage the development of housing facilities designed for occupancy primarily by elderly persons ;.and encourage the development of blighted or underutilized land and structures within the boundaries of the City; and the Project will assist the City in achieving these objectives. (d) The Developer is currently engaged in the business of real estate development. The Project to be financed by the Bonds is the acquisition, construction and equipping of a 77,502 square foot (approximately) elderly multi-family rental housing development of approximately 87 rental units located at the northwest corner of the intersection of 60th Street North (Highway 36 Frontage Road) and Oxboro Avenue North in the City, and consists of the acquisition of land • and the construction of buildings thereon which will result in the provision of additional rental housing opportunities to persons within the community; (e) The City has been advised by representatives of the Developer that con- ventional, commercial financing to pay the capital costs of the Project is available only on a limited basis and at such high costs of borrowing that the economic feasibility of operating the project would be significantly reduced, but the Developer has also advised the City that with the aid of municipal financing, and resulting low borrowing costs, the Project is economically more feasible; • 2 • (f) A public hearing on the Project and the financing program therefor was held on October 28, 1985, after notice was published, all as required by Minnesota Statutes, Section 462C.05, subd. 5, at which public hearing all those appearing at said hearing who desired to speak were heard and written comments, if any, were considered, and such hearing was held open and continued on November 25, 1985 following adoption of the City's Comprehensive Housing Plan; (g) No public official of the City has either a direct or indirect financial interest in the Project nor will any public official either directly or indirectly benefit financially from the Project; NOW THEREFORE, BE IT RESOLVED by the City Council of the City of Oak Park Heights, Minnesota, as follows: 1. The City hereby gives preliminary approval to the proposal of the Developer that the City undertake the Project, described above, and the program of financing therefor described on Exhibit A hereto, pursuant to Minnesota Statutes, Chapter 462C, consisting of the acquisition, construction and • equipping of multi - family rental housing facilities within the City pursuant to the Developer's specifications and to a revenue -agreement between the City and the Developer on such terms and conditions with provisions for revision from time to time as necessary, so as to produce incane and revenues sufficient to pay, when due, the principal and interest on the Bonds in a total principal amount not to exceed $3,700,000 to be issued pursuant to the Act to finance the acquisition, .construction and equipping of the Project; and said agreement may also provide for the entire interest of the Developer therein to be mortgaged to the purchasers of the Bonds, or a trustee for the holder(s) of the Bonds; and the City, hereby undertakes preliminarily to issue its bonds in accordance with such terms and conditions; 2. At the option of the City, the financing may be structured so as to take advantage of whatever means are available and are permitted by law to enhance the security for, or marketability of, the Bonds; provided that any such financing structure must be consented to by the Developer. 3. On the basis of information available to the City it appears, and the City hereby finds, that the Project consti- tutes a multi- family housing development within the meaning of 3 subdivision 5 of Section 462C.02 of the Act; that the Project • will be occupied by elderly persons of low or moderate income; the availability of the financing under the Act and the willingness of the City to furnish such financing will be a substantial inducement to the Developer to undertake the Project, and that the effect of the Project, if undertaken, will be to encourage the provision of additional multi - family rental housing opportunities to residents of the City, to assist in the redevelopment of blighted and marginal land and to promote more intensive development and use of land within the City; 4. The Project, and the program to finance the Project by the issuance of revenue bonds, is hereby given preliminary approval by the City subject to the approval of the financing program by the Minnesota Housing Finance Agency ( "MHFA ") and the Metropolitan Council and subject to final approval by the City, the Developer and the purchasers of the Bonds as to ultimate details of the financing of the project; 5. In accordance with subdivision 5 of Section 462C.05, Minnesota Statutes, the Mayor is hereby authorized and directed to submit the program for financing the project to MHFA, requesting its approval, and other officers, and employees and agents of the City are hereby authorized to provide MHFA with preliminary information as it may require; • 6. The Developer has agreed and it is hereby determined that any and all costs incurred by the City in connection with the financing of the Project whether or not the project is carried to completion and whether or not approved by MHFA will be paid by the Developer 7. Briggs and Morgan, Professional Association, acting as bond counsel, and Juran and Moody, Inc., investment bankers, are authorized to assist in the preparation and review of necessary documents relating to the Project and the financing program therefor, to consult with the City Attorney, Developer and purchasers of the Bonds (or trustee for the pur- chasers of the Bonds) as to the maturities, interest rates and other terms and provisions of the Bonds and as to the covenants and other provisions of the necessary documents and submit such documents to the City for final approval; • 4 . 8. Nothing in this Resolution or the documents prepared pursuant hereto shall authorize the expenditure of any municipal funds on the Project other than the revenues derived from the Project or otherwise granted to the City for this purpose. The Bonds shall not consitute a charge, lien or encum- brance, legal or equitable, upon any property or funds of the City except the revenue and proceeds pledged to the payment thereof, nor shall the City be subject to any liability thereon. The holder of the Bonds shall never have the right to compel any exercise of the taxing power of the, City to pay the outstanding principal on the Bonds or the interest thereon, or to enforce payment thereon against any property of the City. The Bonds shall recite in substance that Bonds, including the interest thereon, are payable solely from the revenue and proceeds pledged to the payment thereof. The Bonds shall not constitute a debt of the City within the meaning of any constitutional or statutory limitation. 9. In anticipation of the approval by MHFA and the issuance of the Bonds to finance all or a portion of the Project, and in order that completion of the project will not be unduly delayed when approved, the Developer is hereby authorized to make such expenditures and advances toward payment of that portion of the costs of the Project to be financed from the proceeds of the Bonds, as the Developer considers necessary, including the use of interim, short -term financing, subject to reimbursement from the proceeds of the Bonds if any when delivered but otherwise without liability on the part of the City. Member Carufel then introduced the following resolution and moved its adoption: RESOLUTION NO. #85 -11 -27 RESOLUTION ADOPTING A HOUSING PLAN AND A HOUSING BOND PROGRAM FOR THE ISSUANCE OF SINGLE FAMILY MORTGAGE REVENUE BONDS, AUTHORIZING SUBMISSION OF • SAME TO THE MINNESOTA HOUSING FINANCE AGENCY, AUTHORIZING THE ISSUANCE OF BONDS PURSUANT THEREBY BY THE WASHINGTON COUNTY HOUSING AND REDEVELOPMENT AUTHORITY, AND APPROVING A POLICY REPORT OF THE WASHINGTON COUNTY HOUSING AND REDEVELOPMENT AUTHORITY. • WHEREAS, pursuant to the Minnesota Municipal Housing Act, Minnesota Statutes, Chapter 462C (the "Act "), the City of Oak Park Heights (the "City ") is authorized to adopt a housing plan and carry out programs for the financing of single family housing which is affordable to persons of low and moderate income; and WHEREAS, the Act requires adoption of the housing plan after a public hearing held thereon after publication of notice in a newspaper of general circulation in the City at least thirty (30) days in advance of the hearing; and WHEREAS, the City on the date hereof held a public hearing on the City's Housing Plan (the "Plan ") after thirty (30) days' published notice; and WHEREAS, the Plan provides for programs for the issuance of bonds to finance the acquisition of single family housing primarily by persons and families of low or moderate income in accordance with the goals, conditions and requirements of the Plan; and WHEREAS, the Act requires adoption of a housing finance program after a public hearing held thereon after publication of notice in a newspaper of general circulation in the City fifteen (15) days in advance of the hearing; and • WHEREAS, the City has on this date conducted a public hearing on a housing bond program (the "Program "), after publication as required by the Act; and WHEREAS, the Program was submitted to the Metropolitan Council at the time of publication of notice of the public hearing, and the Metropolitan Council has been afforded an opportunity to present comments at the public hearing, all as required by the Act; and WHEREAS, the Program provides for the issuance of single family mortgage revenue bonds in an aggregate amount not exceeding $10,000,00 (the "Bonds ") to finance the acquisition of single family housing primarily by persons and families of low or moderate income and first - time homebuyers, all as more fully described in the Program attached hereto as Exhibit A; and WHEREAS, the Act further requires submission of the Program to the Minnesota Housing Finance Agency (the "MHFA ") by January 2, 1986, in order to be considered for an allocation by the MHFA of authority to issue qualified mortgage bonds pursuant to Minnesota Statutes, Sections 462C.09; and WHEREAS, the City, pursuant to Ordinance No. 1700 (the "Ordinance "), has authorized the Washington County Housing and Redevelopment Authority (the "County Authority ") to exercise the City's powers under Minnesota Statutes, Section 462C.01 through • 462C.08; and -2- WHEREAS, in order to issue single family mortgage revenue bonds in 1986, the interest on which is exempt from federal income taxation, the County Authority must submit to the Internal Revenue Service on or before December 31, 1985, a policy report (the "Report ") and such Report must be published by the applicable elected representative of the County Authority; and WHEREAS, in the case of an authority, like the County Authority, which issues qualified mortgage bonds on behalf of two or more governmental units, a combined public hearing on the Report may be held as long as the combined hearing is a joint undertaking that provides all residents of each of such units a reasonable opportunity to be heard. NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Oak Park Heights as follows: 1. That the Plan is hereby in all respects adopted in the form of Exhibit "A" attached hereto, and the County Authority is hereby authorized to submit the Plan to the Metropolitan Council pursuant to the Act. 2. That the Program for the issuance of single family • housing revenue bonds in an aggregate principal amount not exceeding $10,000,000 (the "Bonds ") is hereby in all respects adopted in the form attached hereto as Exhibit "B ". 3. That the City hereby approves issuance of the Bonds as required by the Ordinance and hereby authorizes the Authority to cause the Program to be submitted to the MHFA, to do all other things and take all other actions as may be necessary or appropriate to carry out the Program in accordance with the Act and any other applicable laws and regulations, and to issue the Bonds. 4. That the City hereby requests that the County Authority, or the Board of Commissioners of Washington County hold a combined public hearing on the Report on behalf of the City, as well as any other cities on behalf of which the County Authority expects to issue qualified mortgage bonds in 1986. 5. The law firm of Holmes & Graven, Chartered is hereby designated as Bond Counsel and Miller & Schroeder Financial, Inc. is hereby designated as underwriter of the Bonds to be issued in connection with the Program, their fees to be paid out of the proceeds of the bonds when and if issued. Hauge (the "Developer ") a proposal that the City undertake a program to finance a Project hereinafter described, through the issuance of revenue bonds or obligations (in one or more series) (the "Bonds ") pursuant to the Act; • (c) The City desires to: facilitate the development of rental housing within the community; encourage the development of affordable housing opportunities for residents of the City; encourage the development of housing facilities designed for occupancy by persons of low or moderate income; encourage the development of housing facilities designed for occupancy primarily by elderly persons; and encourage the development of blighted or underutilized land and structures within the boundaries of the City; and the Project will assist the City in achieving these objectives. (d) The Developer is currently engaged in the business of real estate development. The Project to be financed by the Bonds is the acquisition, construction and equipping of a 77,502 square foot (approximately) elderly multi - family rental housing development of approximately 87 rental units located at the northwest corner of the intersection of 60th Street North (Highway 36 Frontage Road) and Oxboro Avenue North in the City, and consists of the acquisition of land and the construction of buildings thereon which will result in the provision of additional rental housing opportunities to persons within the community; (e) The City has been advised by representatives of the Developer that con- ventional, commercial financing to pay the capital costs of the Project is available only on a limited basis and at such high costs of borrowing that the economic feasibility of operating the project would be significantly reduced, but the Developer has also advised the City that with the aid of municipal financing, and resulting low borrowing costs, the Project is economically more feasible; 2 • (f) A public hearing on the Project and the financing program therefor was held on October 28, 1985, after notice was published, all as required by Minnesota Statutes, Section 462C.05, subd. 5, at which public hearing all those appearing at said hearing who desired to speak were heard and written comments, if any, were considered; (g) No public official of the City has either a direct or indirect financial interest in the Project nor will any public official either directly or indirectly benefit financially from the Project; NOW THEREFORE, BE IT RESOLVED by the City Council of the City of Oak Park Heights, Minnesota, as follows: 1. The City hereby gives preliminary approval to the proposal of the Developer that the City undertake the Project, described above, and the program of financing therefor described on Exhibit A hereto, pursuant to Minnesota Statutes, Chapter 462C, consisting of the acquisition, construction and equipping of multi - family rental housing facilities within the City pursuant to the Developer's specifications and to a revenue agreement between the City and the Developer on such terms and conditions with provisions for revision from time to time as necessary, so as to produce income and revenues sufficient to pay, when due, the principal and interest on the Bonds in a total principal amount not to exceed $3,700,000 to be issued pursuant to the Act to finance the acquisition, construction and equipping of the Project; and said agreement may also provide for the entire interest of the Developer therein to be mortgaged to the purchasers of the Bonds, or a trustee for the holder(s) of the Bonds; and the City, hereby undertakes preliminarily to issue its bonds in accordance with such terms and conditions; 2. At the option of the City, the financing may be structured so as to take advantage of whatever means are available and are permitted by law to enhance the security for, or marketability of, the Bonds; provided that any such financing structure must be consented to by the Developer. 3. On the basis of information available to the City it appears, and the City hereby finds, that the Project consti- tutes a multi - family housing development within the meaning of 3 subdivision 5 of Section 462C.02 of the Act; that the Project will be occupied by elderly persons of low or moderate income; the availability of the financing under the Act and the willingness of the City to furnish such financing will be a substantial inducement to the Developer to undertake the Project, and that the effect of the Project, if undertaken, will be to encourage the provision of additional multi - family rental housing opportunities to residents of the City, to assist in the redevelopment of blighted and marginal land and to promote more intensive development and use of land within the City; 4. The Project, and the program to finance the Project by the issuance of revenue bonds, is hereby given preliminary approval by the City subject to the approval of the financing program by the Minnesota Housing Finance Agency ( "MHFA ") and the Metropolitan Council and subject to final approval by the City, the Developer and the purchasers of the Bonds as to ultimate details of the financing of the project; 5. In accordance with subdivision 5 of Section 462C.05, Minnesota Statutes, the Mayor is hereby authorized and directed to submit the program for financing the project to MHFA, requesting its approval, and other officers, and employees and agents of the City are hereby authorized to provide MHFA with preliminary information as it may require; 6. The Developer has agreed and it is hereby determined that any and all costs incurred by the City in connection with the financing of the Project whether or not the project is carried to completion and whether or not approved by MHFA will be paid by the Developer; 7. Briggs and Morgan, Professional Association, acting as bond counsel, and Juran and Moody, Inc., investment bankers, are authorized to assist in the preparation and review of necessary documents relating to the Project and the financing program therefor, to consult with the City Attorney, Developer and purchasers of the Bonds (or trustee for the pur- chasers of the Bonds) as to the maturities, interest rates and other terms and provisions of the Bonds and as to the covenants and other provisions of the necessary documents and submit such documents to the City for final approval; 4 0 • 8. Nothing in this Resolution or the documents prepared pursuant hereto shall authorize the expenditure of any municipal funds on the Project other than the revenues derived from the Project or otherwise granted to the City for this purpose. The Bonds shall not consitute a charge, lien or encum- brance, legal or equitable, upon any property or funds of the City except the revenue and proceeds pledged to the payment thereof, nor shall the City be subject to any liability thereon. The holder of the Bonds shall never have the right to compel any exercise of the taxing power of the City to pay the outstanding principal on the Bonds or the interest thereon, or to enforce payment thereon against any property of the City. The Bonds shall recite in substance that Bonds, including the interest thereon, are payable solely from the revenue and proceeds pledged to the payment thereof. The Bonds shall not constitute a debt of the City within the meaning of any constitutional or statutory limitation. 9. In anticipation of the approval by MHFA and the issuance of the Bonds to finance all or a portion of the Project, and in order that completion of the project will not be unduly delayed when approved, the Developer is hereby authorized to make such expenditures and advances toward payment of that portion of the costs of the Project to be financed from the proceeds of the Bonds, as the Developer considers necessary, including the use of interim, short -term financing, subject to reimbursement from the proceeds of the Bonds if any when delivered but otherwise without liability on the part of the City. CROIX RIVER. WHEREAS, the City of Oak Park Heights as well as neighboring municipalities and other governmental subdivisions have long been in the process of reviewing proposed locations for a new bridge which would be constructed between the states of Minnesota and Wisconsin extended from Highway 36 -212 from Stillwater to Houlton, Wisconsin and /or other locations; and WHEREAS, various locations and proposed sites for said interstate bridge have an impact not only on traffic routing and safety but also upon impact of land values, land development, municipal planning, and all other aspects of residential, commercial and municipal planning and development; and WHEREAS, the City Council of the City of Oak Park Heights and its representatives to the advisory commission which have reviewed the proposed plans and tenative site approvals, have been fully advised to the extent possible at this tenative stage; and WHEREAS, the City Council of the City of Oak Park Heights, in reviewing the matter, has determined that there is a potential site for the extension of the Highway 36 -212 bridge across the St. Croix River to the State of Wisconsin. NOW, THEREFORE, BE IT RESOLVED by the City Council of • the City of Oak Park Heights, that the City Council of the City of Oak Park Heights go on record as approving for site selection for • a tenative bridge site a location which would lie to the north of the present Sunnyside Marina as the same is located in the City of Oak Park Heights inasmuch as such a site selection would minimize the damage to the residential areas of the City of Oak Park Heights as opposed to other locations which have been proposed and would appear to the City Council of the City of Oak Park Heights at this stage to be the most logical point of selection for the construction of any new bridge.
