County Road 132 Roseville,MN 55113 RE: STH 36 Signal Timing—GREEN LIGHT TIME. Dear Adam: As you may understand, there is significant local concern with the limited amount of"green-light time" afforded to traffic attempting to move north and south (perpendicular)across STH 36 at Osgood Ave and at Oakgreen/Greeley Ave. While the current timing may be sufficient during the peak commuting hours, likely between 6:30 to 8:30 am and between 3:30 and 5:30 pm;it is wholly inadequate outside of these times.A simple trip across our community should NOT take 5 to 10 minutes. Moreover,the allowance of only a few vehicles to traverse across STH 36 at each"green light"is not reasonable.Members of the City Council are receiving a number of resident complaints on these crossing times and I believe your office may have as well. STH 36 is NOT a freeway and current timing of the crossing lights are perceived as beginning to fragmentize our communities and commercial areas.Accordingly,we would ask that MNDOT provide the following: 1. Increase the"green light time"for those vehicles moving north/south across STH 36,during non-peak hours. If this cannot be increased, please explain why it cannot be and with sufficient detail so the council and resident communities can understand the issue. 2. The Council would like to invite you to appear before our City Council on either Oct. 231d and/or November 13th so that they may review with you directly these crossing timing issues, how it can be altered and how can this be monitored so that the viewing public can be better informed on the matter. Here is their response: I talked to our signal operations folks they are reviewing the operations in the off peak times and will be making adjustments. I talked with Mike Fairbanks about the letter from the City and we have a new procedure for signal timing complaints that should address the City's concerns with getting more green time at TH 36 and Osgood and TH 36 at Oakgreen/Greeley. Citizens, City Council members, or City staff should send an e-mail with their signal timing complaints to our new external e-mail at MetroSiena10Perations.DOT(Ostate.mn.us and they will get a prompt reply from one of our Signal Optimization Engineers who will monitor the problem on the traffic cameras at the signal and give more green time as needed for the non-peak hours. We will also start monitoring these two signals closely on the cameras this week to look for trouble with the queues not clearing on any of the 8 different timing plans that run throughout the day. The signals on TH 36 were retimed by a consultant this past spring with new traffic counts so the timing should be up-to-date, but we always appreciate hearing from citizens so we can continue to fine-tune the timing to make sure the cross street delays are minimized and the amount of green time is adequate. Thanks, Kevin So we are willing to come to the council meeting 11/13 but the letter from the city is adequate to trigger their review of the signals,they would like some time to review,monitor and adjust and do not feel a council meeting at this time would be very productive. You will get a response from one of our signal engineers as to what they found and any adjustments that were made. Any future complaints or concerns about signal operations can be directed to the email listed above and they will reply directly to you or whomever makes the complaint. It is helpful to the signal staff to get time of day,direction and issue to focus in on the problem. She reported that draft policies were available for review; she reminded residents of the winter parking regulations, and she noted that there would be only one precinct for voting on November 6 which was City Hall. B. Councilmember Dougherty: He reported that the Planning Commission meeting for October was cancelled. C. Councilmember Lilje ren: He reported that the Parks Commission meeting for October was cancelled, and the next meeting was set for November 19 at 6:00 p.m. D. Councilmember Runk: He reported that he, Councilmember Liljegren, and City Administrator Johnson attended the Brown's Creek Watershed District meeting, and they did grant approval for Madison Hospital Group. He also reported he attended the CVB meeting. E. Councilmember Swenson: No report. F. Staff. On July 24th,the Council approved the action to complete a feasibility study to determine costs and possible assessment scope. That study is now completed and generally ready for Council review and discussion. Please note the following: 1. Lee Mann will present some general facts found the Study at the Council meeting on 11/13 including costs, construction types and lists of properties that could be assessed. 2. We have also enclosed a DRAFT resolution that would initiate that assessment process and the general parameters relating to that 429 Assessment process. However, the costs associated with this project are significant to both the City Street Reconstruction Fund as well as could result in substantial assessments. Therefore,there are some options that should be discussed in more detail before moving forward, such as could certain portions be re-claimed versus reconstructed and might the City need an improvement appraisal. Staff would recommend that these be items reviewed in a Worksession prior to the City Council Meeting on 11/27/18 with possible Council action thereafter. The project location is shown on Figure 1. PROJECT AREA The streets investigated in this report include Memorial Avenue N.from 55th Street N., northerly to its terminus north of 58th Street N.; 58th Street N.from Stillwater Boulevard to Memorial Avenue N.; and Minnesota Avenue N.from 58th Street N., southerly to the beginning of the cul-de-sac. The streets in the project area serve a combination of commercial, industrial and retail uses. 58th Street N. and Memorial Avenue N. were constructed prior to the area's annexation into the City. The City implemented a project in 1998 to provide City sewer and water service to the area. Minnesota Avenue N. (formerly Morning Dove Avenue)was constructed in 2002 to serve the Lake Area Bank Building. SCOPE OF STUDY The purpose of this report is to provide the feasibility of reconstructing/rehabilitating the streets in the project area. The type of improvements proposed, estimated costs of the improvements and how the improvements will be funded are presented herein. Geotechnical information via soil borings and ground penetrating radar was obtained to provide information regarding the existing surface and subsurface conditions. This information is needed to establish the ultimate street section and complete the cost estimates. The study scope includes evaluation of adding curb and gutter in select areas with the associated storm sewer system. Also included is consideration of a revised layout of the west leg of the intersection of Stillwater Boulevard and 58th Street N. Minnesota Avenue N. was constructed in 2002. Memorial Avenue N. and 58th Street N. are currently 24-feet wide paved roadways with 4 to 8-foot gravel shoulders, and a ditch system providing drainage conveyance; no curb and gutter(a rural style street section). The pavement in the project area has varying levels of deterioration, including cracking, raveling (surface deterioration from aggregate loss)and edge crumbling. Minnesota Avenue N. has curb and gutter and is 36-feet wide from back-af-curb to back-of-curb. Drainage flows southerly to the drainage swale between The Pizza Ranch and Simonet's Furniture. The cul-de-sac part of Minnesota Avenue N.was constructed in 2016 at the time of the Pizza Ranch project. Runoff from the roads in the project area ultimately drains to the Kern Center pond through the ditch, swale and culvert system. 58th Street and Memorial Avenue ® stantec Stantec Project No: 193804357 City of Oak Park Heights Page 4 CITY OF OAK PARK HEIGHTS - 58TH STREET AND MEMORIAL AVENUE RECONSTRUCTION/REHABILITATION PROJECT Street Improvements 58th Street N. and Memorial Avenue N. from 630-feet south of 58th to its northerly terminus are proposed to be fully reconstructed with the addition of concrete curb and gutter and storm sewer(urban style section). Memorial Avenue N.to the south has been evaluated for both a full reconstruct option while maintaining the rural style section, and a reclamation option. Neither option for this section would incorporate concrete curb and gutter and storm sewer. A mill and overlay is proposed for Minnesota Avenue N. See Figure 2. RECONSTRUCTION The reconstruction method includes the removal and replacement of the bituminous streets along with replacing the existing base as needed and utilizing reclaimed aggregate backfill material. Subgrade corrections will be performed as needed. Reconstruction will consist of the following improvements: ■ Full depth recycling of existing pavement(grinding existing bituminous to utilize for new aggregate base section). ■ Select Granular(sand)subbase. ■ Subgrade correction as necessary. ■ Install 136-18 concrete curb and gutter and storm sewer system. • Install drain tile as needed and connect to storm sewer at low points to remove subgrade drainage. ■ Replace driveways aprons if needed from curb to right of way, in kind. ■ New bituminous pavement. • Adjustments to existing trails as needed. For the southerly section of Memorial Avenue that is recommended to remain a rural section, curb and gutter and adjustments to existing trails is not included in the reconstruction of that segment. Figures 3 and 4 show the areas considered for reconstruction. RECLAMATION Street reclamation consists of grinding the existing bituminous pavement and using the ground bituminous to add to the aggregate section of the road. New pavement would be installed on top of the new aggregate. In this process,the grade of the road typically is raised since the new pavement is installed on top of the ground- up pavement. This option is reviewed for the southerly section of Memorial Avenue N., location shown on Figure 3. MILL AND OVERLAY The mill and overlay will consist of milling off 2-inches of the existing pavement, repairing and patching any existing soft spots, and repaving. The existing curb will be reviewed and sections that need to be replaced will be removed and new curb will be installed. The proposed street sections are appropriate for streets in commercial/industrial/retail areas with native soils as exist in the project area. The westerly leg of the intersection of 58th Street and Stillwater Blvd. is proposed to be reconfigured so that the east bound lanes line up with the east bound lanes on the east leg of the intersection. The eastbound lane area will be widened to three lanes at the intersection, so that there will be a dedicated left,through and right turn lane for eastbound traffic. See Figure 6. COMPLETE STREETS As part of the investigation for these improvements, a review of the options to improve streets to allow for safe and convenient access for all users was reviewed in efforts to incorporate a Complete Streets philosophy. The runoff from Memorial north of 58th and from 58th is routed easterly and discharged to the ditch at Stillwater Blvd., which conveys runoff to the Kern Center Pond. The storm drainage piping along Memorial south of 58th, discharges to the ditch south of the terminus of the proposed curb and is routed to the Kern Center Pond. The ditches in the project area are preserved in all areas except on the south side of the intersection of 581h and Stillwater Blvd. where the pavement is widened to provide for the right turn lane. The proposed piping system connects/picks up existing storm sewer in front of Kwik Trip and intercepts drainage from the ditch on the north side of 58th Street at Stillwater Blvd. The exact location of storm structures and pipe alignments will be finalized during the design phase. See Figure 7. The project area falls within Brown's Creek Watershed District. KWIK TRIP INC Commercial $0.00 $0.00 $0.00 12585 58TH ST N PID 06.029.20.12.0024 298.66 Total Assessment Value $0.00 RESOLUTION A RESOLUTION BY THE CITY COUNCIL FOR THE CITY OF OAK PARK HEIGHTS APPROVING THE FINAL ASSESSMENT POLICIES AND PARAMETERS FOR THE NECESSARY STREET RECONSTRUCTION PLANNED FOR 2019 ACKNOWLEDGING THE RECEIPT OF THE FEASIBILITY REPORT AND ORDERS A PUBLIC IMPROVEMENT HEARING ON THE PROJECT Whereas, the City of Oak Park heights has numerous lane miles of streets that are in need of major repair and replacement, generally being 581' street, lying west of CTY Hwy 14 (Stillwater Blvd); Minnesota Ave. and Memorial Ave these areas as shown on the Plan Map attached hereto as Exhibit A and is further known as the Improvement Area; and, Whereas,the related curbing and storm water management systems are also in need of major repair or replacement; and, Whereas,if any of the City's underground sanitary and water utility systems in this Improvement Area are approaching the end of their useful life should be updated in conjunction with any major street reconstruction so as to avoid duplicative and costly re-excavation and restoration; and, Whereas, The City Council for the City of Oak Park Heights has carefully considered several options for managing and funding the execution of each of the above elements so that costs are viable and equitable based on long-term investment. NOW, THEREFORE BE IT RESOLVED, that the City Council has received the final Feasibility Report as prepared by the City Engineer for the proposed street reconstruction and related improvements and does Order a Public Improvements Hearing to be held on at the Oak Park Heights City Hall, located at 14168 Oak Park Blvd to consider such improvements;and, The City Clerk is hereby authorized and directed to cause notice of said hearing to be given two publications in the official newspaper. Said publications shall be one week apart, and at least three days shall elapse between the last publication and the hearing. Not less than ten days before the hearing the Clerk shall mail notice of the hearing to the owner of each parcel of land within the area proposed to be assessed as described in the notice. For the purpose of giving such mailed notice, owners shall be those shown to be such on the records of the County Auditor or, if the tax statements in the County are mailed by the County Treasurer, on the records of the County Treasurer. As to properties not listed on the records of the County Auditor or the County Treasurer, the Clerk shall ascertain such ownership by any practicable means and give mailed notice to such owners.The Form of the Notice of Hearing shall be that as is approved by the City Attorney, and; BE IT FURTHER RESOLVED that the City Council does hereby adopt the following Polices for implementation of the Project elements and which shall supersede any previously considered policies and shall be incorporated into the final Feasibility Report: 1. All streets planned to be reconstructed in 2019 shall not be reduced in width unless necessary for functionality and as determined by the City Council on a case-by-case basis. 2. All streets planned to be reconstructed shall have new concrete curbing placed along each side of street. Curbing is anticipated to be of B6-18 standard design,non-surmountable; or shall be a surmountable curb where desired by the City Council and which will be identified by the City as the project progresses. Asphaltic/bituminous curbing shall not be installed. 3. Any water mains being replaced or installed shall change from cast iron to ductile iron..None of these costs shall be directly assessed. 4. While water utilities are not anticipated to be address with the 2019 project, however if impacted by the 2019 project and as determined by the City Engineer,the City shall replace at its expense(not assessed)the currently installed(not new lines)private water service line from the water main to (and including)the curb-stop,typically located at or near the property line. Once installed, this service line becomes the responsibility of the property owner consistent with City Ordinance. The City will replace this water service line from the main to the curb stop in its current location. Should the property owner decide to relocate the curb stop location, such as to remove it from a driveway surface to a lawn area,the City will pay for the connection from the main to the curb stop in its new location so long as the new location remains in the City's right-of-way and without obstructions. Should this new location occur it is the property owner's responsibility and expense to directly connect and coordinate such construction of a new direct water service line from the new curb-stop location to the home in a direct fashion without the use of a union joint at the old curb-stop location. If the old curb stop that is no longer going to be used lies within the apron of the driveway to be replaced by the City,the City will remove the curb stop and service line to the main. If the old curb-stop lies outside the apron to be replaced, the City will not remove the former curb- stop but will terminate the service at the main. In locations where a new sanitary line is being installed, the City shall replace at its expense (not assessed) the private sanitary service line from the sanitary main to a point of connection at the private service typically located at or near the property line. Once installed, this service line becomes the responsibility of the property owner consistent with City Ordinance. 5. Stone water shall be managed via sub-surface concrete structures, ditch systems or other methods and protocols typically anticipated in the impacted area and as specified by the City Engineer. 6. The Project may replace the driveway aprons located in the right-of-way as part of the total Project from the curb-line to the right-of way line if there are materially impacted by the Project and as determined by the City Engineer. These costs shall be totaled and shall be calculated into the total Street Assessment costs.All aprons shall remain the same general width onto the City street. Asphalt aprons shall remain asphalt; concrete shall remain concrete, gravel shall be upgraded to asphalt.Property owners who desire to install a concrete apron from an asphalt apron or who may desire to widen the apron shall directly pay for these increased costs to the City. These increased costs may be paid directly to the City in an upfront payment or may be directly assessed(unsubsidized)and shall be included in their assessment to their property. 7. Should property owners desire that their entire driveway be replaced,the City shall direct the residential property owner to their preferred contractor for an independent discussion.. It is the property owner's responsibility to coordinate all such work and secure necessary contracts and performance standards with the contractor selected. 8. Unless specifically authorized via a separate action by the City Council„ the City shall not install any new trails or sidewalks in conjunction with this Project. 9. The Street Assessment will pay for all typical costs associated with the removal and installation of the street surface, subgrades as well as the driveway aprons noted herein. The Curbing Assessment will pay for all typical costs associated with curbing removals and installation. 10. In addition to the protocols set forth in this document,the following Assessment Policies shall be utilized for Street and Curbing Assessments for City parcels only unless noted otherwise: a. Total Street Reconstruction Costs will be assessed at a 100%rate and generally includes streets, curbing, stormwater and impacted aprons. b. For taxable and City of Oak Park Heights' parcels only: Assessments may be reduced (subsidized)in an amount to be determined by the City Council utilizing funds available in the City Street Reconstruction Fund. c. Only Non-Tax-Exempt Properties(defined as properties that have regularly been and are subject to the established City property tax) shall directly benefit from the Street Reconstruction Fund as they have contributed tax dollars to create such Fund. Tax- exempt parcels within the City limits shall pay the costs of the project per frontage foot at the actual calculated costs without City Street Reconstruction Fund subsidy. d. There shall be a minimum assessment for all commercial/non-homesteaded properties of an amount not less than e. The City shall offer a ten(10) year assessment repayment timeline at an interest rate of not more than 2.0%over the City latest general obligation bond issued by the City which is anticipated to be a general obligation improvement bond to be issued to finance a portion of the projects(s) discussed herein. BE IT FURTHER RESOLVED The City Council shall develop and consider policies that relate to assessment deferment based on applicable standing under Minnesota law,and; BE IT FURTHER RESOLVED The City Council does find that the proposed street reconstruction elements and their related improvements, collectively being capital improvements, do not induce deviations from the adopted 2008 Comprehensive Plan and therefore the proposed capital improvements have no relationship to the adopted 2008 Comprehensive Plan and does not require review by the City Planning Commission. The building is Unit A of the Orchard Park Condominium consisting of three buildings with common parking areas. The businesses in the three bulldings consist of primarily professional office uses. The site, zoned as RB, alkrws clinics a conditional use. The CUP for parking will allow the parking requirements to be met for the clinic. The request does not require Site Plan and Design Guideline review in that nothing will be altered on the outside of the building except for signage. The convenience and location will help our business Existing Building: • The current layout of the building and grounds are tum key read to accommodate Stillwater Skins needs. No improvements are needed • The front side entrance is handicap accessible, the street can be used for street traffic walkers • Front entrance -you can remove coats and hats with access to coat and boot racks. The current kitchen break room has a counter which will be used as a coffee bar. No improvements necessary. • After checking in the waiting room is conveniently located with a large window facing Osgood. Seating for four will be provided. • The offices are fully equipped with sufficient outlets, cable and phone lines. This was designed for commercial use for the past 17 years. This makes this project easy for a ready move in situation. • The extra room available will be handicap accessible and services offered if needed • The washer and dryer will be located in the basement. There will be a dispensary area for our sanitation and laundry. Floor 2. • Two treatment rooms, each containing a massage bed, chair and vanity for our products The larger room will contain a laser machine that has sufficient electric provided. • The bathroom on the main level is handicap accessible. • The bathroom upstairs will be reserved for employees only. • This house is charming and delicate and would be a perfect fit for Stillwater Skin. • We would like to utilize the sign we currently have at 5525 Memorial. We look forward to the future in this beautiful home ISSUES ANALYSIS Comprehensive Plan. The Comprehensive Plan designates this area as Commercial on the Proposed Land Use Map. The use of the property for a clinic is consistent with the Comprehensive Plan. Zoning Ordinance. The property is zoned R-13 District in which clinics are a conditional use. With 1,788 finished square feet, the property will require a CUP for parking. As part of the condominium, this building is allocated 10 parking spaces out of the 41 spaces in the lot. The Zoning parking requirements for the clinic would require 16 spaces. The criteria found in Section 401.03.A.7 and 401.28.E of the Zoning Ordinance must be considered when reviewing a request for this type of business in this District. Conditional Use Permit. The Planning Commission should consider the following issues and impacts of the proposed project in making its recommendation. The conditional use permit criteria, found in Section 401.03.A.7 of the Zoning Ordinance, are found as follows: 1. Relationship to the spec iftc policies and provisions of the municipal comprehensive plan. 2. The conformity with present and future land uses in the area. 3. The environmental issues and geographic area involved. 4. Whether the use will tend to or actually depreciate the area in which it is proposed. 5. The impact on character of the surrounding area. 6. The demonstrated need for such use. T. Traffic generation by the use in relation to capabilities of streets serving the property. a. The impact upon existing public services and facilities including parks, schools, streets, and utilities, and the City's service capacity. 9. The proposed use's conformity with all performance standards contained herein (i.e.,parldng, loading, noise, etc). Comment: The use of this building as a clinic should not create an issue for the other uses in the condominium association or the surrounding neighborhood. The primary use in the three buildings of the condominium association are professional offices. Traffic generation and impact to the existing parking will be minor with the three full time 3 employees. There should be no impact on public services, utilities or facilities. City Staff sees no issues with the business as currently proposed for this location. The following criteria in Section 401.28.E of the R-B District related to medical offices and clinics, must also be reviewed by the Planning Commission: a. The site and related parking and service entrances are served by an arterial or collector street of suffident capacity to accommodate the traffic which will be generated. Comment: Access to the site is from Osgood Avenue North which provides sufficient capacity for this office complex. b. Adequate off-street parking is provided in compliance wfth Section 401.15.F. of this Ordinance. Comment: Parking requirements of the Zoning Ordinance would require 16 spaces while 10 are allocated to the building. There will be two medical estheticians and one part time receptionist on site. At most, there would be four or five clients at the clinic at one time. The ten parking spaces will be more than adeauata for this husine__ c Adequate off-street loading is provided in compliance with Section 40 1.15.F. of this Ordinance. Comment: The business will not require significant off-street loading. The site survey indicates a designated loading berth close to the proposed business. d. Vehicular entrances to parking or service areas shall amde a minimum of conflict with through baffic movement. Comment: The access from Osgood Avenue has functioned well for the office complex. e. When abutting an R-1, R-2, or R4 Dftld, a buffer area with careening and landscaping in compliance with Section 401.15.E. of this Ordinance shall be provided. Comment: The parking area is already lined with mature trees. f. All signing, and information or visual communication devices shall be in compliance with Section 401.15.G. of this Ordinance. Comment: The Applicant has proposed one wall sign that is consistent with the sign requirements. 4 g. The provisions of Section 401.03.A.8 of this Ordinance are considered and satisfactorily met. Comment: The criteria are reviewed in this report. Parking. Section 401.15.F.9 of the Zoning Ordinance requires one space per each 100 square feet of floor area for clinics. The parking calculation for this site is as follows: Unit A— 1,788 sq.ft. x .9 = 1,609 sq. ft./100 = 16 parking spaces The building requires 16 parking stalls for the clinic. There will be two medical estheticians and one part time receptionist on site. At most, there would be flour or five clients at the clinic at one time. The ten parking spaces will be more than adequate for this business. The condominium development includes 41 parking spaces, but ft appears from the association document that there are no cross easements for parking. Trash Enclosure. Currently, the dumpsters for the building are placed at the edge of the parking lot and are not screened. The association will be required to screen the dumpsters as part of the approval of the CUP approval. A plan for the trash enclosure will be required and approved by City Staff before construction. Grading/Drainage/Utilities. There are no exterior changes that require revisions to grading, drainage or utilities. Lighting. Within the development there are 13 decorative light fixtures on 4 to 5foot wood poles. The fixtures that were replaced a couple of years ago are non-conforming in that they are decorative and not full cut&L A permit was not requested from the City at the time that they were replaced. As a condition of approval, the light fixtures will need to be replaced with those that conform to the lighting requirements. The fixtures shall be approved by City Staff. Landscaping. There are no changes proposed to the existing landscape. Mechanical Screening. No changes are proposed to the exterior mechanical equipment Signage. The Applicant has proposed using the sign from her former location. The sign is oval, 5 ft x 8 ft and, and will be mounted on the building. The sign is in conformance with the ordinance regulations. A sign permit shall be required to hang the sign. The light above the front door of Unit A will also be replaced with a conforming fixture. Item3: The dumpster will be enclosed with a gated structure. IMP FIF A City of Oak Park Heights 14168 Oak Park Blvd. N•Box 2007.Oak Park Heights,MN 55082•Phone(651)439-4439•Fax(651)439-0574 11.8.18 MEMO TO: Mayor and City Council Members FROM: Eric Johnson,City Administrator RE: Madison Hospitality Group—Holiday Inn Express—Timeline Extension to 4/15119 Dear Mayor and Council: Madison Hospitality Group MHG is seeking another extension to their Due Diligence Process(DDP)timelines moving the default date from 12/30/2018 to 4/15/18 These initial dates and a prior extension stem from the Purchase agreement completed in August 2017 and which outlines the conveyance of the Property to MHG at a price of$875,000 with requirements that a hotel facility is constructed.We know that at this time, MHG has secured their City planning approvals,Variances/Conditional Use Permits and Brown's Creek Watershed District approvals have been secured in October 2018. This however the BCWD approvals did delay the entire project by approximately 6 months. The Council at this time has basically two options: 1. Provide an extension to the 4/15/19 and continue to work with the Buyer to complete the transaction as outlined in the Purchase Agreement. 2. Inform the Buyer that the City will not grant an extension,the Buyer will likely withdraw from the proposal. NOTE: The enclosed document is consistent with the previous extensions; however, a final document will need to incorporate a revision to paragraph 7.2 (not shown herein) that extends the City Council requirement that MHG is responsible for the street assessments to Memorial Ave.This will be in the final version The Council would need to take a formal action to extend any dates. I would of course defer to Mark Vieding or Kevin Sandstrom if 1 have mis-stated any elements herein. THIRD AMENDMENT TO PURCHASE AND SALE AGREEMENT THIS THIRD AMENDMENT TO PURCHASE AND SALE AGREEMENT("Third Amendment")is effective as of this day of ,2018,by and among the City of Oak Park Heights, a municipal political subdivision in the State of Minnesota ("Seller") and Madison Hospitality Group,LLC,a Minnesota limited liability company("Buyer"). RECITALS WHEREAS,the parties executed a Purchase and Sale Agreement dated August 29, 2017 (the"Agreement");and WHEREAS,parties executed a First Amendment to Purchase and Sale Agreement dated April 12, 2018 (the "First Amendment") and a Second Amendment to Purchase and Sale Agreement dated August 30, 2018 (the "Second Amendment"), and the parties desire to further extend the Due Diligence Period as provided for herein; and NOW,THEREFORE,for good and valuable consideration, the receipt of sufficiency of which is hereby agreed and acknowledged by Seller and Buyer,the parties hereto agree to amend and modify the Agreement as follows: 1. Section 4.2 of the Agreement is amended and modified to provide as follows: 4.2. Due Diligence. Buyer will be allowed until April 15, 2019 (the "Due Diligence Period"),to review the Due Diligence Documents,inspect the Property, perform such surveys, observations, soil borings, archeological and historical surveys, appraisals, tests and investigations as Buyer may reasonably deem appropriate, apply for all permits, conditional use permits, variances, building permits, licenses, assurances, and approvals as Buyer may reasonably deem appropriate for Buyer's intended use of the Property, determine whether Buyer's proposed construction on the Property can occur without the use of piling, extraordinary filling or other extraordinary land preparation steps, and otherwise satisfy itself regarding the condition, suitability and desirability of the Property for Buyer's intended purpose (collectively"Due Diligence"). If Buyer in its absolute and sole discretion is not satisfied with the Property or the results of its Due Diligence, Buyer may on or before the expiration of the Due Diligence Period terminate this Agreement by giving written notice to Seller. Upon such termination prior to the end of the Due Diligence Period, the Earnest Money and Additional Earnest Money will be returned to Buyer and neither party will have any further obligations under this Agreement, except those obligations that expressly survive such termination. In the event that Buyer terminates this Purchase Agreement for any reason,Buyer shall promptly return the Due Diligence Documents to Seller. 2. Section 4.3 of the Agreement is amended and modified to provide as follows: 4.3 Extension of Due Diligence Period. The parties acknowledge that Buyer has previously paid the sum of $20,000 ("Additional Earnest Money") to the Title Company to extend the Due Diligence Period to September 15, 2018, that Seller did not require Buyer to make further payment of additional Earnest Money in consideration for Seller's agreement to further extend the Due Diligence Period to December 15,2018,as provided for in the Second Amendment,and that Seller will not require Buyer to make further payment of additional Earnest Money in consideration for Seller's agreement to further extend the Due Diligence Period to April 15, 2019, as provided for in this Third Amendment. All Earnest Money and additional Earnest Money shall remain refundable to Buyer during the Due Diligence Period, as extended, .or as otherwise provided for in this Agreement, except as provided for in Section 11.1. 3. Except as amended and modified above, the parties ratify and confirm all other terms and provisions of the Agreement.
