Call to Order: No meeting quorum. Meeting will be held as a worksession. Present: Chair Chirhart and Commission Thoreson. Commissioner Hoeppner arrived at the end of the Worksession. Also present: City Administrator Johnson, Public Works Director Kegley, Arborist Danielson, and Commission Liaison Johnson. Absent: Commissioner Peterson and Commissioner Weyer. 11. Fat Tire Event: City Administrator Johnson reviewed the information received from the applicant regarding a Fat Tire Rally. He reported the City Council authorized the event. IX. Informational: A. The City Council feels it is valuable to have some tenure on the Parks and Trails Commission and has, in the past, appointed a Commissioner to serve beyond the two consecutive terms. Recently, the City Council also discussed the possibility of amending the Bylaws to allow a third three-year term if the Commissioner desires to stay on the Commission and no other applications were received. Tony Weyer was appointed by the City Council to fill a vacancy and serve a first term on the Parks Commission from February 2015 through January 2018, and was appointed by the City Council to a second term commencing January 2018 through January 2021. The Parks and Trails Commission should discuss the Bylaws and a possible amendment. City staff has reached out to Tony Weyer to see if he would be interested in continuing on the Parks and Trails Commission. As of the printing of this memo, staff had not heard back from him. The Parks and Trails Commission will need to make a recommendation to the City Council for reappointment, or alternatively, take action to advertise for a vacancy. Page 5 of 8 B. Ex-Officio Members. There shall be a City Council person designated by the Mayor, with the consent of the City Council, to be a liaison to the Parks and Trails Commission. Such City Council person shall serve without voting power and in a capacity as ex-officio to the Parks and Trails Commission. The Mayor, with the consent of the City Council may also appoint non-voting, ex-officio members to represent other groups or organizations from the community. C. Terms. The five members of the Parks and Trails Commission shall be appointed by the City Council. All such appointments shall be initiated and be established by resolution of the City Council. The term of each member shall be for three years with initial terms being staggered by the City Council resolution of appointment. No member shall serve more than two consecutive terms on the Parks and Trails Commission. D. Absenteeism. If any voting member fails to attend three consecutive meetings or a total of four meetings (or 25 percent) during the calendar year, the Parks and Trails Commission shall notify the City Council of the same with a recommendation from the Parks and Trails Commission as to the continued ability for such person to remain on the Commission. Parks and Trails Commissioners shall notify the Chairperson or City staff when an absence is anticipated. E. Removal. Any member of the Parks and Trails Commission may be removed at any time by a four-fifths (4/5) vote of the City Council with or without cause. F. Compensation. Compensation of Parks and Trails Commission members as selected by the City Council shall serve without compensation except as otherwise established by Resolution of the City Council. G. Training. The Chairperson and the City staff shall meet with each new Parks and Trails Commissioner to explain Parks and Trails Commission procedures. H. Resignation. A member who wishes to resign shall submit a written resignation to the Chairperson, who shall in turn forward the same to the City Council. I. Vacancies. Vacancies occurring within the Parks and Trails Commission shall be filled for the balance of the appointment by the City Council. Members that are filling vacancies as a result of a resignation or removal of a member, may complete the balance of such term but may then be appointed to a full initial term without penalty and may then serve a second and additional terms pursuant to Article 3 C. 2 Page 6 of 8 City of Oak Park Heights Memo To: Parks and Trails Commission From: Jennifer Pinski Date: January 22, 2021 Re: Annual Meeting For your convenience, I have provided you with a copy of page 3 of the Parks and Trails Commission Bylaws. This will provide guidance for the Annual Meeting. Annual Meetings are to be held each year, with the nomination and election of Chairperson and Vice- Chairperson as needed. At the January 2020 Annual Meeting, Judith Chirhart was elected as Chairperson and Hal Peterson was elected as Vice-Chairperson with both positions expiring January 2021. According to the Bylaws, a member can serve as Chairperson or Vice-Chairperson for two consecutive years. Since the current Chairperson and Vice-Chairperson have each served in those roles for only one year, they can serve another term for this year. Or, any other member of the Parks Commission could be elected to either position. Upon completion of the Annual Meeting, the new Chairperson, if applicable, will Chair the remainder of Parks Commission Meeting Agenda, Page 7 of 8 ARTICLE 4 — OFFICERS, DUTIES AND ELECTION OF OFFICERS A. Officers. The officers of the Parks and Trails Commission shall be Chairperson and Vice-Chairperson. B. Duties of the Chairperson. The Chairperson shall preside at all meetings, appoint Parks and Trails Commission members to committees, appoint Parks and Trails Commission representatives, rule on procedural questions (subject to reversal by a two-thirds (213) vote of those members in attendance), meet with all newly appointed members, exercise the same voting rights as other Parks and Trails Commissioners and carry out such other duties as are assigned by the Parks and Trails Commission or by the City Council. C. Duties of the Vice-Chairperson. The Vice-Chairperson shall act in the absence or inability to act of the Chairperson, and in such instances shall have the powers and functions of the Chairperson. D. Terms. The Parks and Trails Commission officers shall be elected from among its appointed members. No member shall serve as Chairperson or Vice- Chairperson for more than two consecutive years. A member may serve as Vice- Chairperson for two years and then Chairperson for two years, or in alternate or alternating order. The election shall occur at the Parks and Trails Commission's annual meeting. E. Vote. Candidates for office receiving a majority vote of the entire membership (three-fifths (315), shall be declared duly elected. F. Date of Office. Newly elected officers and members shall take office at the annual meeting in January and which is an end date (sine die) for the preceding term year. G. Vacancies. Vacancies occurring in the offices of the Parks and Trails Commission shall be filled immediately by the above election procedure. ARTICLE 5 — MEETINGS A. Annual Meeting. An annual organizational meeting shall be held in January of each year. Election of officers shall be conducted at that time. B. Regular Meetings. Regular meetings of the Parks and Trails Commission shall be held at 6.00 PM on the third Monday of each month or as otherwise designated to account for legal holidays or other special circumstances as approved by the City Administrator.
