DUE DILIGENCE PERIOD: Commencing on the date of mutual execution of the Letter of Intent,the Tenant shall have up to seven(7)months to inspect the Property (the "Due Diligence Period"). At the beginning of each month during the Due Diligence Period, $5,000 of the Deposit shall be released to Owner from the Escrow Account and shall be deemed nonrefundable to Tenant upon receipt.Interest accrued on all amounts in the Escrow Account will be paid by the Escrow Company to the Tenant. The Deposit shall be applied to the Purchase Price at Closing. If Option is never triggered by the Tenant,then the Deposit shall be applied to the amount of rent due under the Lease. LICENCE CONTINGENCY The parties acknowledge and agree that(i)the Tenant is applying for a Marijuana Retailer License (the "State License") from the Minnesota Office of Cannabis Management; and (ii) the Tenant will be required to obtain a local retail registration from the local jurisdiction acknowledging that it permits the Tenant to operate a Marijuana Retailer at the Property(the"Local Registration").The State License and the Local Retail Registration shall be collectively referred to herein as the"Retailer License."The Lease Agreement and any contemplated purchase of the Property by the Tenant is contingent on the issuance of the Retailer License to the Tenant(the"Government Approvals"). POSSESSION DATE& RENT COMMENCEMENT: Security deposit, first month's rent, and the rent commencement date shall begin and be due within Fifteen(15) days of Tenant or its assigns, receiving Governmental Approval for their intended use as a Marijuana Retailer.
