Dear Mark:
1 am writing to follow -up on our conversation of April 11, 1994
concerning the above - referenced matter. We are anxious to
finalize the terms of the Developer's Agreement so we can proceed
with the project.
During our phone conversation, we discussed the following points:
A. 'aragraph 1k, page 4. 1 have asked Norris to talk to
the planner about the language in paragraph 1[ which
limits the construction of two -story buildings. This
would severely limit development of the project since we
anticipated that the regular residential ordinances
would apply when we were forced to cut clown the
number of lots being incorporated into the PIM. This
is, after all, a residential development, and accordingly
we do not believe that the two -story restrictions are
necessary.

B. Paragraph 2 page 5. We believe the "estimated cost"
numbers contained in paragraph 2 are too high for the
following lined items:

As you know, there will be no boulevard
and the sod for the lot will be the owner's
responsibility

shall contain language giving the board of directors the
power to convey the streets to the city if a majority of the
homeowners want the streets conveyed to the city, but such
conveyance shall not be mandatory. The developer shall have
the sole responsibility for the repair, upkeep, and
maintenance of the streets and shall retain ownership of the
streets but maintain them in accordance with city standards.
Article IX Section 6 of the Declaration of Covenants,
Restrictions, and Easements for East Oaks Homeowners
Association shad also he amended to coincide with the
language in the Developer's Agreement.
D. l will contact Barry Stack about developing new legal
descriptions for the easements burdening the land
encompassed by the P.U.D.
E. In lieu of the security requirement described in
paragraph 2, the partners will obtain a declining letter -
of- credit in a form acceptable to the city which allows
the balance of the letter to decline after construction of
the improvement and inspection by the city's
engineering department. We propose that paragraph 2
should appear as follows:
