Option 2: Annual usages collected by a Loffler representative., Caption 3: Quarterly manual collection by customer Option 4: Monthly manual collection by customer; 1 6.e_ TERMS & CONDITIONS General Scooe of coverage During the term of this contract Loffler Companies, Inc will repair or replace according to the terms of this agreement any part of the equipment which ? becomes unserviceable due to normal usage (other than consumable supplies, i.e. toner, image units). All parts replaced wilt be furnished on an exchange basis and will be new, reconditioned, or used. Alt parts removed due to replacement will become the property of Loffler Companies, Inc. Maintenance services provided by Loffler Companies, Inc. under this agreement do not include the following..:; A. Repair of damage riot caused by vendor, including without limitation, damage resulting from accident, transportation neglect or misuse, failure or fluctuation of electrical power, telephone equipment or communication Braes failure, environmental conditions, or acts of Clod. B Repairs made necessary because of service that was provided by persons other than vendors C. Exit trays, copy cabinet, removable cassettes, or other breakable items that are not related to the mechanical or electrical operation of the equipment. Da Repairs and/or service calls resulting from attachments not purchased and/or approved by Loffler Business Systems. Performance of Maintenance Services Maintenance services Witt be provided at the customer's place of business where the equipment is located during regular business hours ($.00 a,m.. 5;00- p,m.) Monday through Friday, except holidays. Preventative maintenance may be performed in conjunction with unscheduled maintenance calls. Won - performance: in the event than Loffler Companies does not perform the services to the Customer's satisfaction, Customer" shalt inform Loffler Companies in writing and Loffler Companies shall have a'period of thirty (30) days to correct any deficiencies to performance. Should Loffler Companies still be unable to correct the problem, the Customer shall have the option of terminating this Agreement without "incurring any penalty. In the event of termination for non - performance Customer shalt: Permit Loffler Companies to remove any Loffler Companies owned equipment and supplies; covered finder this Agreement Pay all charges due and owing to Loffler Companies through the date of removal of such equipment and/ or supplies Charges The maintenance charges for all maintenance agreements, i.e. annually; quarterly, monthly, Witt be payable by the customer in '!advance with the overages billed in arrears. The relocation of equipment indicated on the face hereof may result in an increase of maintenance charges or the termination of this agreement. The maintenance and supply agreement is subject to increase up to 5%, annually. The charges established in this agreement include' payment for the maintenance of the equipment and consumable supplies including black and color toner and developer, if indicated on the reverse side. Raper and staples must be purchased separately by you. For the purpose of this agreement, an impression is defined as a one sided, $.5 x 11 or smaller+ image on a single sheet of media. This agreement is based upon manufacturer staked yields:: 6% coverage for black toner' and 24% coverage for color' toners. We reserve the right to re- evatuate your toner usage during the term of this agreement. If your average coverage exceeds these standards, you may be charged for additional toner cartridges required beyond that which your annual impression usage dictates. Addition of Equipment: Customer is required to immediately notify Loffler Companies, via an Equipment Change Farm, upon installation of any additional ! equipment at Customer's site capable of using Loffler Companies supplied toner cartridges. Upon installation, such equipment shalt automatically' be covered by this Agreement and shalt be considered the Equipment for all purposes under this agreement. Equipment must be operational at time of coverage, and parts or tabor may be charged for initial repairs: Customer Obligations Customer agrees to provide a suitable place for use (including suitable electric service) as specified by the manufacturer. Customer to provide 360 degree service access to equipment. Customer wilt provide a key operator for the equipment and make available operators for Instruction in use and care of the equipment., Lim Cations Loffler Companies, Inc, shall not be liable for failure to perform its obligations hereunder, and such failure to perform shalt not constitute a breach of this agreement when repair of the equipment is required as a result of accident, misuse, use of supplies or accessories that do not meet manufacturer's standards, fire„ flood, or other adverse conditions damaging the equipment at customer's premises. Loffler Companies, Inc. shall not be liable for delay or failure to perform under this agreement for causes beyond its reasonable control for the period of time that such causes are enduring. Addationatly, Loffler Companies, Inc, shalt not be responsible or liable for any circumstances occurring due to the failure of any equipment or accessories covered under this agreement: Term This agreement will become effective 5 business days after asset tagging and equipment inspection has been completed (as determined by Schedule A), and will be enforced for the number of years on the reverse side of this document. This agreement will be automatically renewed at the prevailing rates at the time of renewal unless canceled in writing thirty (30) days prior to the expirations of the agreement, Loffter Companies may terminate this agreement upon written notice prior to any renewals. Termination In the event an agreement is terminated by the customer in the last year of the contract, a charge equal to two month's base charge and usage; will be assessed. For two year agreements terminated in months 1.12 a charge equal to 4 months base charge and usage will be assessed. For three year agreements terminated in months 1 -12 a charge equal to 6 months base charge and usage wit( be assessed, or if terminated in months 13 -24 a, charge equal to 4 Months base charge and usage will be assessed. Confidentialitvt Companies recognizes that it must conduct' its activities in a manner designed to protect any information concerning its affiliates or Customers (such information herein referred to collectively as the "Information ") from improper use or disclosure. Loffler Companies agrees to treat Customer's Information on ,a confidential basis, Loffler Companies further agrees that it wilt not disclose any Customer Information, without Customer's prior written consent, to any person, firm or corporation except (1) to authorize Customer representatives or (2) to employees of Loffler Companies who have to perform the services contemplated hereunder. Loffler Companies agrees upon request to have its employees execute written undertakings to comply with the confidentiality requirements set forth under this paragraph, Asst nabiHtvs The Customer may riot assign its interest in or delegate its duties under this Agreement, Breach or Default If the Customer dries not pay all charges for services as provided hereunder, promptly when due, (,1) Loffler Companies may (a) refuse to provide service or supplies for the Equipment or (b) furnish service and supplies on a C.p,D. "Per Catt" basis at published rates and (2) the Customer agrees to pay Loffler Companies costs and expenses of collection including the reasonable attorney's fee permitted by law in addition to all other rights and remedies available to Loffler Companies. Entire A &cMont/Applicable Law This agreement constitutes the entire agreement between Loffler Companies, Inc. and the customer and supersedes any previous agreements between Loffler Companies, Inc. and the customer with respect to services to the equipment,' This agreement shalt be interpreted and continued In accordance with ti7e taw of the State of Minnesota and the parties hereby consent to the personal jurisdiction of any state or federal court having appropriate subject matter jurisdiction located within the 'State of Minnesota; imolementat €on Upon approval of this Agreement by both parties, Loffler Companies will complete an inspection of the Equipment to be serviced under this Agreement. Following inspection, a Loffter Companies identification tag wilt be attached to the Equipment. If after inspection, the equipment is determined inoperable, the customer will be given an opportunity to have the said equipment repaired by Loffler Companies, solely at the cost of the customer„ prior to being covered by this contract.
