Public Works storage --- The City has been provided information from Randy Engel about the possibility of deducting this area from the contract, saving an estimated $32,000. Please see enclosed email from R. Engel 2. GEOTHERMAL -- There has been some discussion as to possible revised layouts for the geothermal well field, apparently there are 'issues' with the location under the power lines. Please note that despite numerous requests for meaningful and considered documentation from the Contractor as to relocating this field, there has been nothing provided to date. Until this is provided and options provided i would hesitate to engage in significant discussion about this issue. The plans as bid were and are quite clear as to this location. (There has been a draft alternative layout proposed from Mr. Engel for a sake of initial discussions on the 14th - not that there could not be several other layouts) 3. I have enclosed a copy of a DRAFT Jurisdictional Transfer Agreement for 62nd Street and Oxboro Ave whereby the City will be conveying these streets to the County and consistent with an April 2008 Agreement which outlined a process for such transfer. At "staff level" we appear to have come to general agreement on all aspects of the TRANSFER AGREEMENT except one, relating to the ability of the property owners along Oxboro and 62nd Street to maintain their access along these future County Road ways in perpetuity unless they grant consent to the County to close these access points. (See AGREEMENT # 22). Staff would prefer that these properties are assured some permanent access -way onto Oxboro Ave and/or 62nd street which can be bolstered by inserting a caveat as stated into 2.2. The County's position is that these properties are also comprised of County residents and that they too are sensitive to this issue, but the County does not desire to loose this option in perpetuity for legitimate purposes. The County would be somewhat limited in closing some, if not all of these access -ways by CURRENT statute or by a possible claim of inverse condemnation by the property owner — losing access to ones property makes the property inherently less viable /valuable. AND THE COUNTY OF WASHINGTON ALL j i f ON THE JURISDICTIONAL TRANSFER OF CERTAIN ROADS ( el WITHIN THE CITY OF STILLWATER AND THE CITY OF OAK PARK HEIGHTS THIS AGREEMENT is entered into by and among the City of Stillwater ( "Stillwater "), the City of Oak Park Heights ( "OPH ") and the County of Washington ( "County "), and dated as follows: 1. DEF'INITIONS A. OPI -1 Roads as depicted on Exhibit A being a portion of Oxboro Ave North and 62 " Street North shall be defined as all that part of the south one -half of 62" c1 Street North lying east of Osgood Avenue North and west of an extension of the east right-of-way tine of Oxboro Avenue North; and all that part of Oxboro Avenue North lying north of Minnesota Trunk 1- lighway 36 and south of 62 "d Street North; and, all that part of 62 "" Street North lying north of the centerline thereof, and east of the centerline of Panama Avenue North and west of an extension of the east right-of-way line of Panama Avenue North; B. Stillwater Roads as depicted on Exhibit A shall be defined as all that part of the north one -half of 62` Street North lying cast of Osgood Avenue North and west of an extension of the cast right- of-way line of Oxboro Avenue North; and, all that part of 62` Street North lying cast of an extension of the east right-of-way line of Oxboro Avenue North and west of an extension of the cast right-of-way line of Panama Avenue North; except that part of said 62 "` Street North within the City of Oak Park Heights lying north of the centerline thereof', and east of the centerline of Panama Avenue North and west of an extension of the cast right- of-way line of Panama Avenue North. 2. JURISDICTIONAL TRANSFER The parties agree to the following conditions regarding the transfer of jurisdiction of the OPH Roads and Stillwater Roads to Washington County: 1. The County shall proceed pursuant to MINN. STAT. § 163.11, subd 3 to accept said jurisdiction over the defined OPI-I Roads and Stillwater Roads and the Cities of OPH and Stillwater shall convey their interests therein to the County, 2. As consideration to the County i - or this Agreement, OI'I -I and Stillwater shall transfer to the County all public road rights of way and road casements it currently holds for the affected roadways as depicted on I3xhibit A attached I hereto. OPH and Stillwater hereby warrants to the County that it does have control and ownership rights to all affected rights-of-way and that the Roads as 9 1 constructed thereon are located within said right -of -way. All current driveways and access paints aloha these roadw s shall be preserved hsthe.Co€ 1 140 % &�1 unless the affected property owner consents otherwise to_closu_ re. 3. After transfer of jurisdiction is accomplished, the County shall own and be solely responsible for the maintenance of all storm water systems located within the Road right of way as depicted on Exhibit B. The County may not alter, limit or impede public storm water flows or areas served by the storm water pipes as are now being conveyed through these storm water systems nor shall it alter or limit the downstream outfalls. Any future storm sewer upgrades and restoration projects are to be paid for by contributing flows 4. After transfer of jurisdiction is accomplished, OPH and Stillwater shall continue to own and be solely responsible for the maintenance of all water main systems and sanitary sewer systems as depicted on Exhibit B. 5. The County shall grant OPH a utility easement of at least 30 feet in width, being 15 feet or more on either side of the centerline of the located water and sewer utilities for the repair, replacement or restoration of those utilities within the Roads as depicted and described in Exhibit B. This easement will be recorded upon completion of the jurisdictional transfer. Should there be discrepancies in the legal descriptions of the casements Washington County shall correct any such discrepancies in a reasonable timeline, G. By December 31, 2009, OPH and Stillwater shall transfer to the County all existing construction and maintenance records of the Roads depicted on attached Exhibit A. 7. Upon execution of this agreement and recording of easement areas, OPH shall release of the County Letter of Credit #St,CMMSPO4743. 8. The parties agree that all paragraphs of this Agreement are conditions precedent to the formation of the contract and failure of any of these conditions shall render the whole Agreement null and void. The parties further agree that all other provisions of the Agreement are conditions subsequent and the failure of one party to fulfill its obligations under any of these provisions shall entitle the other party to maintain any action in law or equity to enforce those provisions of the Agreement. 2 22 of 49 IN WI'T'NESS WHEROI{, the parties Have executed this agreement as of the date first hereinabove written and is agreed to be effective as of July 1, 2009.
