The application approval process commences and an application is considered complete when all required information and fees are submitted appropriately to the City. By the Contingency Date, Buyer is satisfied with the results of and matters disclosed by soil tests, well tests, engineering inspections, .hazardous waste and environmental assessments of the Property, all such tests, inspections and reviews to be obtained at Buyer's sole cost and expense; and Buyer is satisfied with all provisions for utility services for all kinds. (e) Survey. By the Contingency Date, Buyer is satisfied with a survey of the Property, to be obtained at Buyer's sole cost and expense. (f) Environmental Assessment: By the Contingency Date, Buyer is satisfied with the Environmental Assessment of the Property,to be obtained at Buyer's sole cost and expense. (g) Government Approvals. By the Contingency Date, Buyer has obtained at its sole cost and expense re-zoning of the Property and all final governmental approvals necessary in Buyer's judgment in order to make the use of the Property that Buyer intends. (h) Financing. By the Contingency Date, Buyer shall have received a Commitment acceptable to Buyer for the proceeds of financing necessary and sufficient in Buyer's opinion to implement Buyer's plans for and to complete the purchase of the Property. The "Contingency Date" shall be ninety (90) days after this Purchase Agreement has been fully executed by Seller and Buyer. If Government approval has not been obtained for the re- zoning and development plans within the initial 90 day contingency period, the Contingency Date shall be automatically extended by an additional sixty(60)days(i.e.,for a total of 150 days). If any contingency has not been satisfied on or before the stated date, then this Agreement may be terminated at Buyer's option by written notice from Buyer to Seller,with notice to be given not later than the Contingency Date. Upon such termination, the Earnest Money and any interest , accrued thereon shall be released to Buyer and upon such return, neither party will have any further rights or obligations regarding this Agreement or the Property. If notice of termination is not timely received by Seller, all contingencies will be deemed to have been waived by Buyer. All the contingencies set forth in this Agreement are specifically stated and agreed to be for the sole and exclusive benefit of the Buyer and the Buyer shall have the right to unilaterally waive any contingency by written notice to Seller. 5. Seller's Obligations regarding Contingencies. Seller agrees as follows: (i) Seller shall allow Buyer and Buyer's agents access to the Property without charge and at all reasonable times for the purpose of Buyer's investigation and testing the same. Except as otherwise provided herein, Buyer shall pay all costs and expenses of such investigation and testing and shall hold Seller and the Property harmless from all costs and liabilities relating to the Buyer's activities. Buyer shall further repair and restore any damage to the Property caused by or occurring during Buyer's testing and return the Property to substantially the same condition as existed prior to such entry. This provision shall survive a termination of this Agreement. (ii) Seller shall without charge to Buyer cooperate in Buyer's attempts to obtain re-zoning and all governmental approvals necessary in Buyer's judgment in order to make that use of the Property which Buyer intends.
