City of Oak Park Heights PROFESSIONAL SERVICES AGREEMENT Between CITY OF OAK PARK HEIGHTS, MINNESOTA And BONESTROO, ROSENE, ANDERLIK AND ASSOCIATES, INC. THIS AGREEMENT, effective the 1st day of October, 1999, and made between the City of Oak Park Heights, Minnesota, hereinafter called the City, and Bonestroo, Rosene, Anderlik and Associates, Inc . , hereinafter called the Engineer; WITNESSETH: WHEREAS, it is the goal of the City to obtain engineering and architectural services, in a cost-effective and timely manner; and WHEREAS, the City desires to retain the Engineer from time to time to provide such professional services for general engineering needs as well as for the planning, design and construction of public works projects, all as may be directed by the City; and WHEREAS, the City may desire to retain the Engineer from time to time for the planning, design and construction of such special projects as buildings and recreational facilities; and WHEREAS, the City and Engineer deem it mutually advantageous to set forth the details of their relationship in writing; NOW, THEREFORE, In consideration of their mutual covenants expressed herein and with respect to the provision of professional services by the Engineer and the payment for those services by the Owner, the parties agree as set forth below. SECTION 1. ENGINEER'S SERVICES 1 .1. General 1 . 1 . 1 . The City herewith employs the Engineer to perform and the engineer herewith agrees to perform the services hereinafter described. Nothing in this Agreement shall constitute an exclusive right of the Engineer to perform engineering services for the City. 1 . 1 .2 . The Engineer will conduct its contact with the City through the City Administrator. 1 . 2 . Basic Services for Construction Projects 1 . 2. 1 . The City may request the Engineer to provide planning, design, and construction related services for public improvement projects . A single construction contract shall be deemed a "Project . " Engineer shall provide Basic Services for Construction Projects as described in Appendix "A. " 1 . 2 . 2 . Basic Services for Construction Projects shall consist of three phases : 1) Feasibility Report Phase 2) Design Phase 3) Construction Phase 1 . 3 . Supplemental Services If authorized in writing by the City, the Engineer shall finish or obtain from others those services which are not provided under Appendix "A, " Basic Services for Construction Projects . Possible "Supplemental Services" are identified in Appendix "B. " 1 .4 . Other Investigations, Studies and Reports The City may direct the Engineer to provide other feasibility investigations, studies and reports not related to construction projects . Examples include, but are not limited to, sanitary sewer, water, and stormwater system master plans; transportation studies; environmental assessments, worksheets or impact statements; and rate studies . For any such requested "Special Study, " the Engineer will provide the City with a scope of services and an estimate of the costs and will not begin work until so authorized by the City. SECTION 2 . THE CITY'S RESPONSIBILITIES The City will : 2 . 1 . Provide full information as to its requirements for a Project . 2 . 2 . Furnish to the Engineer, prior to any performance by the Engineer under this Agreement, a copy of any planning, design and construction standards which the City shall require the Engineer to follow in the preparation of Construction Contract Documents for a Project . -2- • • 2 . 3 . Place at Engineer' s disposal all available written data pertinent to the Project, including existing reports, plats, surveys, contour mapping, utility mapping, record plans and other data affecting the design and/or construction of the Project . 2 .4 . Acquire all land, easements, and rights-of-way for the Project . Provide for land surveys and the preparation of legal descriptions and exhibits, certificates or plats . 2 . 5 . Provide access to the Project site and make all provisions for the Engineer to enter upon public and private lands as required by the Engineer to perform its services under this Agreement . 2 . 6 . Examine all studies, reports, sketches, opinions of probable construction costs, specifications, drawings, proposals and other documents presented by the Engineer and promptly render the City' s decisions pertaining thereto. 2 . 7. Provide legal review of the Construction Contract Documents and provide such accounting and insurance counseling services as are required by the City for a Project . 2 . 8 . Designate a single person to act as the City' s Representative with respect to the Engineer' s service to be performed under this Agreement . Such person shall have complete authority to transmit instructions, receive information, and interpret and define the City' s policies and decisions with respect to service covered by this Agreement subject to Council approval when required by law, ordinance, or regulation. 2 . 9 . Give prompt written notice to the Engineer whenever the City observes or otherwise becomes aware of any defect in the Project . 2 . 10 . Furnish, or instruct the Engineer to provide at the City' s expense, necessary Supplemental Services as provided in Appendix "B" of this Agreement or other services as they may be required. 2 . 11 . Furnish to the Engineer, as required by Engineer for performance of its services, data prepared by or the services of others, such as core borings, probings and subsurface explorations, hydrographic surveys, laboratory tests and inspections of samples, materials and equipment; appropriate professional interpretations of all of the foregoing; property, boundary, easement and . right-of-way surveys and property descriptions; zoning -3- • and deed restrictions; and other special data or consultations not covered in the Engineer' s Basic Services, all of which the Engineer may rely upon in performing its services . 2 . 12 . Furnish approvals and permits from all governmental authorities having jurisdiction over the Project and such approvals and consents from others as may be necessary for completion of the work. 2 . 13 . Act promptly on all construction Change Orders and provide authorization before Change Orders are issued to the Contractor on a Project . SECTION 3 . CITY' S PAYMENT TO ENGINEER 3 . 1 . Payment for Basic Services 3 . 1 . 1 . For the Basid Services performed under Paragraph 1.2 . Basic Services for Construction Projects, City will pay Engineer a percentage of the "Construction Cost of the Project . " This fee shall be calculated in accordance with Appendix "Cl" or "C2" attached to this Agreement . Appendix "Cl" shall be used to calculate the fee for the following types of construction Projects : 1) Projects involving process engineering (e.g. , pumping stations, wells, water treatment, etc. ) 2) Projects which require outside funding agency approval 3) Buildings and structural facilities (e .g. , pumphouses, bridges, retaining walls, etc . ) 4) Park work and landscape architecture 5) Multi-agency projects 6) Traffic signal projects and street reconstruction projects Appendix "C2" shall be used to calculate the fee for all other types of construction Projects . 3 . 1. 2 . Projects whose construction costs are less than $100, 000 are not covered by Appendix "Cl" or "C2 . " For Basic Services performed by the Engineer for these Projects, the City will pay the Engineer on an hourly basis in accordance with the attached Appendix "D, " Hourly Billing Rates, multiplied by a factor of 1. 3 . These rates are -4- • adjusted annually at the beginning of the year in accordance with the Engineer' s normal review procedures . 3 . 1 . 3 . "Construction Cost of the Project" is defined as the total cost of all work designed or specified by the Engineer for the Project including change orders, and shall be determined as follows with precedence in the order listed: 1) For completed construction, the costs to the City of all construction work performed, including the value of all alternates designed but not awarded for construction. 2) For construction work bid but not constructed, the lowest bona fide bid received from a qualified bidder, including the value of all alternates designed whether awarded or not . 3) For work for which bids are not received, the Engineer' s latest Opinion of Probable Construction Cost . Construction Cost of the Project does not include: 1) Any payments to the Engineer or other Consultants 2) The cost of the land or right-of-way 3) Other costs which are the responsibility of the City as provided in Section 3 . 3 . 1 . 5 . Progress payments to the Engineer shall be made in proportion to services performed. The compensation for Basic Services shall amount to the following percentage of the total fee at the completion of each phase of the work: 1) Upon completion of the Feasibility Report Phase, the City will pay to the Engineer a sum equal to 20 percent of the Engineer' s fee, based on the Engineer' s opinion of probable construction cost . 2) Upon completion of the Design Phase, the City will pay to the Engineer a sum equal to 85 percent of the engineer' s fee, based upon the construction cost, of the Project (plus any alternates) designed by the Engineer, whether awarded by the City or not, less any portion of the fee previously paid. 3) For Basic Services rendered in the Construction Phase, the City will pay to the Engineer a sum -5- equal to 100 percent of the Engineer' s fee, based upon the construction cost of the Project less any portion of the fee previously paid. Payments shall be made monthly, invoiced in direct proportion to the amount of construction work completed. 3 . 2 . Payment for Supplemental Services 3 . 2 . 1 . For the preparation of reproducible "Record Plans, " the City shall pay the Engineer 1/2 percent of the construction cost of the Project for Projects whose construction costs are greater than $100 , 000 . For the preparation of reproducible Record Plans for Projects whose construction costs are less than $100, 000 and for all other services performed by the Engineer under Appendix "B, " Supplemental Services, the City will pay the Engineer on an hourly basis in accordance with the attached Appendix "D, " Billing Rate Schedule . 3 . 2 . 2 . For other extra services not herein provided for, the City shall pay the Engineer in accordance with the attached Appendix "D. " 3 .3 . Payment for Special Studies "Special Studies" are the types of studies and planning activities generally described in Paragraph 1 . 3 and which do not require detailed design plans and specifications nor construction-related services . Payment for the Engineer' s services shall be made on an hourly basis in accordance with Appendix "D. " 3 .4 . In addition to payment for Basic Services, authorized Supplemental Services and Special Studies, the City will pay the Engineer for Reimbursable Expenses on the basis of the Engineer' s cost . Reimbursable Expenses include, but are not limited to, the costs of reproduction of drawings and specifications; Project-specific printing, duplicating, tabs and indexes; mileage; travel and per diem expenses of Engineer for out-of-town trips required for the Project and approved in advance by the City; long distance telephone calls and faxes as required to expedite the work; Project photographs taken before and during construction; construction stakes; postage and delivery charges; and out-of-pocket expenses incurred directly for the Project . 3 . 5 . If any work performed by the Engineer is abandoned by the Contractor or suspended in whole or in part by the City, the Engineer shall be paid for the proportionate share of work completed and for costs and services performed prior to receipt of written notice from the City of such -6- 1 abandonment or suspension. The Engineer shall also be paid for any terminal expenses resulting therefrom in accordance with the attached Appendix "D. " 3 .6 . The City shall make progress payments to the Engineer in proportion to services performed as estimated by the Engineer and approved by the City. Sums due under this Section will be invoiced monthly during the progress of the work. Each properly documented and authorized payment due the Engineer from the City shall be made within 30 days after City receipt of the Engineer' s invoice . 3 .7 . Staff Meeting Attendance . During the term of this agreement there shall be no fee charged to the city for engineer attendance at weekly staff meetings as directed by the City Administrator. Such meetings shall be limited to 2 . 0 hours in duration, including travel time . All other meeting attendance shall be compensated at the rates estblished and attached as schedule "D" . SECTION 4 . GENERAL CONSIDERATIONS 4 . 1 . The Engineer shall act as the City' s agent only as provided for within this Agreement . 4 .2 . The Engineer will put forth reasonable efforts to complete its work in a timely manner. City acknowledges, however, that Engineer will perform its services with due diligence, governed by sound professional practices . It is hereby agreed that the Engineer cannot be held responsible for delays occasioned by factors which are beyond its control, or by factors which could not reasonably have been foreseen at the time this Agreement was prepared and executed. If the Engineer discerns that the schedule for a Project shall not be met for any reason, Engineer shall so notify the City as soon as practically possible . 4 .3 . The Engineer' s Opinion of Probable Construction Costs is an opinion only and is supplied as a guide only. Since the Engineer has no control over the cost of labor and material or over competitive bidding and market conditions, the Engineer does not guarantee the accuracy of such opinion. 4 .4 . Terms of this Agreement may be changed by mutual agreement of the City and the Engineer. Such changes shall be approved by both parties and incorporated in written amendments to this Agreement . -7- 4 . 5 . No deductions shall be made from the Engineer' s compensation on account of penalty, liquidated damages, or other sums withheld from payment to Contractors, except as may be determined by mediation, arbitration, litigation or other dispute resolution mechanism. 4 . 6 . The Engineer shall not delegate its duties under this Agreement without the written consent of the City, which consent shall not be unreasonably withheld. 4 . 7 . Insurance 4 . 7 . 1 . The Engineer agrees to maintain a professional liability insurance policy, insuring payment of damage for legal liability arising out of the performance of professional services for the City, in the insured' s capacity as Engineer, if such legal liability is caused by negligent acts, errors or omissions of the insured or of any person or organization for whom the insured is legally liable and responsible, to an amount of at least $1, 000, 000 annual aggregate, on a claims-made basis . Such insurance cannot be canceled until thirty days after the City has received written notice of the insured' s intention to cancel the insurance . 4 . 7 . 2 . The Engineer shall maintain: 1) Statutory workers compensation and employers' liability insurance coverage. 2) Comprehensive general liability insurance coverage and automobile liability insurance coverage in the sum of not less than $1, 000, 000 each. 4 . 8 . Ownership of Instruments of Service 4 . 8 . 1 . All drawings, specifications, and other documents prepared by the Engineer for Projects undertaken by the City are instruments of service, not products, and are the property of the Engineer. Upon completion or termination of the Project, reproducible copies or microfiche of the plans and specifications shall be transmitted to the City. The City shall retain sole ownership of the plans and specifications relating to said Project after six years . Any reuse or adaptation and use of these instruments of service occurring after termination of the Project shall entitle the Engineer to further compensation in amounts to be agreed upon by the City and the Engineer. 4 . 8 .2 . In the event of any use or adaptation by the City after termination of the Project whereby the drawings and -8- i t specifications are revised, altered or otherwise modified by anyone other than the Engineer, the City agrees to defend, indemnify and hold harmless the Engineer from all claims, damages, and expenses including reasonable attorney' s fees arising out of any defect or deficiency in the modified drawings or specifications or in a project constructed pursuant to them. 4 . 9 . Termination 4 . 9 . 1 . The City or the Engineer may terminate this Agreement if the other party breaches its responsibilities under this Agreement . The party effecting termination shall so notify the other party, and termination will become effective 14 calendar days after receipt of the termination notice. 4 . 9 .2 . Irrespective of which party shall effect termination, the City shall, within 30 calendar days of termination, pay the Engineer for services rendered and costs incurred in accordance with Appendixes "Cl" and "C2" and, where these schedules are not applicable, in accordance with Appendix "D. " 4 . 9 .3 . Services shall include those rendered up to the time of termination, as well as those associated with termination itself, such as demobilizing, modifying schedules, reassigning personnel, etc . Costs shall include those incurred up to the time of termination, as well as those associated with termination and post-termination activities . 4 . 9 .4 Notwithstanding the foregoing, this agreement shall be subject to renegotiation on or before September 30, 2001 . At that time the provisions of paragraph 3 . 7 of Section Three shall terminate unless otherwise agreed to by both parties 4 . 10 . Dispute Resolution 4 . 10 . 1 . In an effort to resolve any conflicts that arise out of the services under this Agreement the City and the Engineer agree that all disputes between them arising out of or relating to this Agreement shall be submitted to nonbinding mediation prior to either of them initiating against the other a demand for arbitration pursuant to Paragraph, 4 . 10 . 2 . 4 . 10 . 2 . Unless the City and the Engineer mutually agree otherwise, all claims, disputes, and other matters in question between the parties to this Agreement arising out of or relating to this Agreement or the breach -9- thereof and not resolved under Paragraph 4 . 10 . 1 . , where the amount in controversy shall be less than $200, 000, shall be decided by arbitration in accordance with the then-most current rules of the American Arbitration Association. 4 . 10 . 3 . The arbitration decision shall be final and binding on the parties . Pending final decision of a dispute hereunder, the Engineer shall proceed diligently with performance of its responsibilities under this Agreement . 4 . 11 . LIMITATION OF LIABILITY ENGINEER' S LIABILITY TO CITY FOR ANY AND ALL CLAIMS LOSSES, EXPENSES OR DAMAGES ARISING OUT OF THE PROJECT OR THIS AGREEMENT FROM ANY CAUSE INCLUDING BUT NOT LIMITED TO THE ENGINEER' S NEGLIGENCE, ERRORS, OR OMISSIONS SHALL NOT EXCEED THE TOTAL SUM PAID ON BEHALF OF OR TO THE ENGINEER BY THE ENGINEERS INSURERS IN SETTLEMENT OR SATISFACTION OF CITY' S CLAIMS UNDER THE TERMS AND CONDITIONS OF ENGINEER' S INSURANCE POLICIES APPLICABLE THERETO. Engineer's services during these phases are described below. 1 . Feasibility Report Phase Upon receipt of the City' s authorization to proceed with the Feasibility Report Phase, the Engineer shall : 1 . 1 . Consult with the City to ascertain the City' s requirements for the Project . 1 . 2 . Prepare an engineering feasibility report on the Project . The J report shall indicate the scope of the Project ect and shall include the following elements : 1) Summary of preliminary design alternatives and recommendations 2) Construction cost estimates 3) Administrative, legal, bonding and engineering cost estimates based on a percentage of the construction cost 4) List of permits required from other governmental and administrative bodies 5) Project sketches indicating the general nature of the proposed Project improvements 6) Proposed funding sources 1 .3 . In sufficient detail to enable the City to make reasonable judgments thereon, outline the anticipated permanent and temporary easements and rights-of-way needed for the construction of the Project . 1 .4 . Submit 15 copies of the Feasibility Report to the City Administrator five days before review by the City Council . , 1 .5 . Using maps and diagrams which depict the nature and location of the Project, present the data contained in the Report to the City Council at a public hearing. • 2 . Design Phase Upon receipt of City authorization to proceed with the Design Phase, the Engineer shall : 2 . 1 . Design and prepare detailed plans and specifications for the Project . During the consideration and preparation of said designs, plans and specifications, the Engineer shall periodically consult with the City' s appointed representative to insure that the City' s desires with respect to the Project are being satisfied. Upon completion, the Engineer shall submit five sets of plans and specifications for review by the City, five days prior to their review and approval by the City Council at a public meeting. 2 .2 . Prepare the Contract Documents, which shall include : 1) Construction agreement forms 2) Payment and performance bond forms 3) General conditions 4) Special provisions 5) Specifications 6) Detailed plans 7) Proposal forms The Engineer shall furnish Contract Document sets in sufficient quantity to satisfy the number of anticipated bidders. 2 .3 . Advise the City as to the necessity of obtaining services in addition to those furnished by the Engineer such as land and easement surveys, soil borings, testing services and other information needed for the implementation of the Project . If and when concurred with and authorized by the City, the Engineer shall assist the City in procuring these services . The providers of these services will contract directly with the City and issue invoices directly to the City. 2 .4 . Prepare a- statement of the Engineer' s Opinion of the Probable Construction Cost for the Project, based upon designs established to this point . 2 .5 . Upon receipt of City Council authorization to proceed, the Engineer shall assist the City in obtaining and -2- • analyzing bids for construction of the Project and Y g J prepare a recommendation for award of the Construction Contract . 3 . Construction Phase Upon receipt of City authorization to proceed with the Construction Phase of the Project the Engineer shall : 3 . 1. Organize, attend and assist the City at the pre-construction conference with the successful bidder, and any other parties, bodies, or agencies who have an interest in the Project . 3 .2 . Visit the Project site at intervals appropriate to the various stages of construction as the Engineer deems necessary to : 1) Become generally familiar with the progress and quality of the Contractor' s work completed, and to 2) Determine in general if the work is being performed in a manner indicating that the work, when completed, will be in accordance with the Contract Documents . However, the Engineer shall not be required to make exhaustive or continuous on-site inspections to check the quality or quantity of the work. On the basis of such on-site observations as an experienced and qualified design professional, the Engineer shall keep the City informed of the progress and quality of the work, and shall endeavor to guard the City against defects and deficiencies in the work. (More extensive site representation may be agreed to as a Supplemental Service, as described in Appendix "B, " Paragraph 2. 18. ) 3 . 3 . Review the Contractor' s request for progress payments, opinion Engineer' s o advise the City in writing as to the En g p of the extent of the work completed in accordance with the terms of the Construction Contract, and issue for processing by the City, all Requests for Payment . 3 .4 . Make recommendations to the City as to all claims relating to the execution and progress of the construction work. 3 . 5 . Issue such additional instructions to the Contractor as may be necessary to interpret the drawings and specifications or the illustrated changes required in the Contractor' s work. -3- . 3 . 6 . After discussion with the City, prepare Change Orders for work not covered by the Contract or for substantial over-run of estimated "contract quantities" as defined in the Project' s Contract Documents, for the City' s approval and execution. Change Orders shall be processed as soon as practical after written approval thereof has been received by the Engineer from the City. 3 . 7 . Conduct construction progress reviews with the Contractor and the City related to the Contractors date of completion. 3 . 8 . Coordinate periodic field tests during the course of construction. 3 . 9 . Conduct an inspection to determine if the work is substantially complete and on the basis of its on-site observations, the Engineer shall prepare a "punch list" for the Contractor, listing work left to be completed by the Contractor. 3 . 10 . Conduct, in the presence of the City' s Representative, a final inspection of the Project as constructed to determine whether it : 1) Conforms with the Engineer' s design concept of the Project as contained in the Contract Documents, and 2) Appears to be constructed in accordance with the Contract Documents. The Engineer shall certify a recommendation for acceptance of the work to the City and then shall forward to the City a written approval of the Contractor' s Request for Final Payment which shall be signed by the Contractor. 3 . 11 . Arrange for the City to receive detailed instructions regarding the operation and maintenance of any equipment, machinery or apparatus installed as a part of the Project . Such instruction shall be supplied by the Contractor and manufacturers' representatives, including two certified copies of operational and maintenance manuals . -4- ' APPENDIX B SUPPLEMENTAL SERVICES 1 . Pre-Authorized Supplemental Services The City hereby pre-authorizes the Engineer to provide the following Supplemental Services for a Project : 1) Construction inspection by persons other than the Project Manager 2) Construction staking 3) Review and approval of shop drawings and samples . Engineer shall review shop drawings, samples and other submissions of the Contractor solely for their conformance with the Engineer' s design intent and for conformance with information given in the Contract Documents . The Engineer shall not be responsible for any aspects of a shop drawing submission that affect or are affected by the means, methods, techniques, sequences and operations of construction, safety precautions and programs incidental thereto, all of which are the Contractor' s responsibility. 4) Assisting the City in preparing applications necessary for approvals, permits and licenses from the Minnesota Department of Transportation, Minnesota Department of Health, Minnesota Pollution Control Agency, Minnesota Department of Natural Resources, U.S . Army Corps of Engineers, Watershed Districts, railroads, and p rivate utilities . 5) Preparation of reproducible "Record Plans" 2 . Other Potential Supplemental Services 2 . 1 . Transportation engineering and planning services, including: 1) Transportation analysis which encompasses and benefits an area greater than that of the Project . 2) Traffic signing and pavement marking design. 3) Traffic analysis, signal justification reports, and development of signal timing associated with preparing traffic signal plans and specifications . • s t 4) Traffic analysis required for roadway and intersection geometric design. 5) Project development reports (project path and design study) required for NnDOT-funded projects . 2 . 2 . Construction dispute resolution assistance 2 . 3 . Attendance at neighborhood meetings 2 . 4 . Assistance with assessments 2 . 5 . Attendance at and assistance with assessment hearings 2 . 6 . Assistance with easements 2 . 7 . Operator training 2 . 8 . Preparation of detailed operation and maintenance manuals 2 . 9 . User rate studies 2 . 10 . Pilot testing 2 . 11 . Preparation of applications for funding assistance 2 . 12 . Hydraulic and hydrologic studies 1) Hydraulic analysis benefitting an area greater than that of the Project . 2) Stormwater, surface water and groundwater quality analyses . 2 . 13 . Attendance at more than one public hearing per Project 2 . 14 . Making revisions in drawings, specifications or other documents when such revisions are: 1) Inconsistent with approvals or instructions previously given by the City 2) Required by the enactment or revisions of codes, laws or regulations subsequent to the preparation of such documents 3) Due to changes required as a result of the City' s failure to render decisions in a timely manner, or 4) Due to any other causes beyond the Engineer' s control . -2- I ' 2 . 15 . Providing consultation regarding the replacement of all such parts of the Project as may be damaged by fire or other cause during construction and assisting the City in arranging for continuation of the work should the Contractor default for any reason. 2 . 16 . Providing services made necessary by the default of a Contractor, by major defects or deficiencies in the work of a Contractor, or by failure of performance of either the City or a Contractor under the Contract for construction. 2 . 17 . Preparing to testify and testifying as an expert witness for the City in any mediation, arbitration, litigation or other proceedings involving a Project and assisting the City or its representative in connection with mediation, arbitration, litigation or other proceedings involving the Project . _ 2 . 18 . We strive to strike a balance between keeping our hourly rates as low as possible while maintaining our commitment to keeping staff and technical capabilities innovative and efficient. Over the last decade,we have kept our rate increases in line with current inflation. However,the demand for engineers and technicians has significantly raised costs associated with providing engineering services to our clients. In order to be able to continue to provide our clients with the highest level of service possible,we have had to raise our rates higher than the inflation rate this year to reflect the marketplace pressures related to retaining technical employees. The new schedule has a range of billing rates for each category. Rates for individuals will vary based on experience and the value they bring to the client.
