SIGNAL AND LIGHTING MAINTENANCE AGREEMENT BETWEEN THE CITIES OF SAINT PAUL AND OAK PARK HEIGHTS An Agreement dated this ,2 day of 04---Q ,2000 by and between the City of Saint Paul, Minnesota, hereinafter called "St. Paul" and the City of Oak Park Heights, Minnesota, hereinafter called "Oak Park Heights" WITNESSETH: Whereas, St. Paul possesses the skill and expertise via its, Department of Public Works,to service, repair and maintain traffic signals and have serviced its own signals for several decades (the "Services"); and Whereas, Oak Park Heights has need of the Services at various locations within its borders; and Whereas, both St. Paul and Oak Park Heights are willing to enter into an agreement whereby St. Paul will provide Oak Park Heights with Services and Oak Park Heights will pay St. Paul for the same; and Whereas, both St. Paul and Oak Park Heights are authorized pursuant to Minnesota Statutes §471.59 to enter into such and agreement, now therefore, IT IS MUTUALLY AGREED BY AND BETWEEN ST. PAUL AND OAK PARK HEIGHTS AS FOLLOWS: 1. That St. Paul will provide general maintenance and repair Services for those traffic signals and lights listed on Addendum A which is incorporated herein by reference. 2. That Addendum A may be amended by Oak Park Heights at any time providing such amendment is in writing and specifically describes the nature and type of such matter, its location and effective date of the change. Such amendment shall be sent to Thomas Eggum, Director of Public Works, 10th floor City Hall Annex, Saint Paul, Minnesota 55102. 3. That St. Paul will provide preventive maintenance for the traffic signals set forth in Addendum A and as detailed in Addendum B which is incorporated herein by reference. 4. That Addendum B may be amended by Oak Park Heights in the same manner set forth in paragraph 2 above. 5. That the maintenance work performed by St. Paul of any kind described above is applicable to all hardware, control equipment and emergency vehicle preemption devices. 6. That all electrical work performed by St. Paul will be in conformance with the national electrical code and in a neat and workmanlike manner. Further, traffic control during any maintenance performed by St. Paul shall be structured according to Appendix B of the manual of uniform traffic control devices. 7. That any damaged materials removed by St. Paul from the traffic signals pursuant to this agreement shall be turned over to Oak Park Heights for inspection and disposal. 8. That Oak Park Heights will, prior to its purchase of new traffic signals, furnish a copy of the proposed bid specifications to St. Paul; and St. Paul shall provide its written advice, and commentary regarding the same within ten (10) working days after receipt of same. 9. That Oak Park Heights shall furnish to St. Paul a copy of any and all repair and maintenance manuals and revisions of the same for any and all equipment. 10. That Oak Park Heights shall, from time to time, provide a written list of persons authorized by Oak Park Heights to call for service hereunder. Any call for service by any other persons shall be verified by St. Paul before work commences. 11. That authorized Oak Park Heights representatives shall direct telephone calls for Services when needed between the hours of 7:30 AM and 4:30 PM Monday through Friday, excluding legal holidays to St. Paul's traffic operations center at 487-7200. At all other times, calls for service shall be directed to St. Paul's 24-hour dispatcher at 292-6600. 12. That St. Paul shall immediately dispatch qualified personnel to repair and correct emergency or dangerous situations on a priority basis considering all signals/streetlights maintained by St. Paul, taking care of the most dangerous situations first. 13. That St. Paul shall, for non-emergency or non-dangerous situations, respond to calls for service within two (2) hours if such calls are received between 7:00 AM and 5:30 PM, Monday through Friday, excluding legal holidays. A call for service at any other time shall be responded to within three (3) hours. 14. That to the extent possible, depending on St. Paul's complement of available staff and available parts, any traffic signal covered hereunder shall be restored to normal operation within twenty-four (24) hours from the time the call for service is received. 15. That in the event the controller unit of a traffic signal covered hereunder need shop repairs, St. Paul shall, in the interim, supply at no cost to Oak Park Heights a basic controller unit for the safe traffic flow of an intersection, but such controller need not be coordinated. 16. That St. Paul will keep a complete log of all work performed and shall for each call for service fill in the log-in sheet kept at an intersection. 17. That Oak Park Heights will provide a current timing sheet for each traffic signal covered hereunder and which shall be kept in the appropriate controller cabinet. 18. That as to all preventive maintenance required under Addendum B and noted as to be performed by six-month intervals, such maintenance shall be performed between April 1 and May 15 of any calendar year and October 1 and November 15 of any calendar year. 19. That St. Paul will, besides the preventive maintenance reflected on Addendum B, perform a general survey of all of the traffic signals covered hereunder and submit a general report to Oak Park Heights on the condition of same. 20. That St. Paul will give twenty-four (24) hours advance notice prior to beginning any preventive maintenance reflected on Addendum B. 21. That St. Paul will perform the preventive maintenance work reflected on Addendum B at off-peak traffic hours. 22. That St. Paul will bill Oak Park Heights for Services rendered hereunder on a monthly basis detailing a description of the work involved; the labor and equipment used in the performance thereof, and the parts and materials furnished. 23. That labor charges will be billed by St. Paul at the wage it has established as adjusted, via collective bargaining with the various occupational groups who actually perform the work. Such wage rates will also be adjusted to reflect the cost of fringe benefits paid by St. Paul to those occupational groups who actually perform the work. Further, the wage rates and/or fringe benefits will be adjusted if the occupational groups are working holidays, are on overtime status or have been subject to callback as the case may be and as determined by the time when work is performed hereunder. The labor charges referenced shall commence at the time travel begins and terminate when travel ends for any task performed for Oak Park Heights hereunder. 24. That Oak Park Heights shall be billed for parts and materials at St. Paul's actual cost plus a markup of twenty percent (20%) to cover the costs of restocking, handling and operating expenses. 25. That Oak Park Heights will remit the sums payable to St. Paul within thirty (30) days after its receipt of same. 26. St. Paul and Oak Park Heights shall each indemnify and hold the other harmless from any and all claims, suits or damages resulting from or caused by any negligent act or omission, or any intentional tort of its respective employees, that may arise from the performance of this Agreement. 28. That either St. Paul or Oak Park Heights may terminate this agreement without cause upon sixty (60) days written notice from one to the other and any charges for Services rendered prior to the termination date shall survive until paid. 29. There shall be no assignment of this Agreement except upon the written consent of the nonassigning party, which consent shall not be unreasonably withheld. 30. That Oak Park Heights shall furnish to St. Paul a copy of any and all repair and maintenance manuals and revisions of the same for any and all equipment. 10. That Oak Park Heights shall, from time to time, provide a written list of persons authorized by Oak Park Heights to call for service hereunder. Any call for service by any other persons shall be verified by St. Paul before work commences. 11. That authorized Oak Park Heights representatives shall direct telephone calls for Services when needed between the hours of 7:30 AM and 4:30 PM Monday through Friday, excluding legal holidays to St. Paul's traffic operations center at 487-7200. At all other times, calls for service shall be directed to St. Paul's 24-hour dispatcher at 292-6600. 12. That St. Paul shall immediately dispatch qualified personnel to repair and correct emergency or dangerous situations on a priority basis considering all signals/streetlights maintained by St. Paul, taking care of the most dangerous situations first. • 13. That St. Paul shall, for non-emergency or non-dangerous situations, respond to calls for service within two (2) hours if such calls are received between 7:00 AM and 5:30 PM, Monday through Friday, excluding legal holidays. A call for service at any other time shall be responded to within three (3) hours. 14. That to the extent possible, depending on St. Paul's complement of available staff and available parts, any traffic signal covered hereunder shall be restored to normal operation within twenty-four (24) hours from the time the call for service is received. 15. That in the event the controller unit of a traffic signal covered hereunder need shop repairs, St. Paul shall, in the interim, supply at no cost to Oak Park Heights a basic controller unit for the safe traffic flow of an intersection, but such controller need not be coordinated. 16. That St. Paul will keep a complete log of all work performed and shall for each call for service fill in the log-in sheet kept at an intersection. 17. That Oak Park Heights will provide a current timing sheet for each traffic signal covered hereunder and which shall be kept in the appropriate controller cabinet. • • 18. That as to all preventive maintenance required under Addendum B and noted as • to be performed by six-month intervals, such maintenance shall be performed between April 1 and May 15 of any calendar year and October 1 and November 15 of any calendar year. 19. That St. Paul will, besides the preventive maintenance reflected on Addendum B, perform a general survey of all of the traffic signals covered hereunder and submit a general report to Oak Park Heights 9 p ghts on the condition of same. 20. That St. Paul a will (24 twenty-four ive g (24) hours advance notice prior to beginning any preventive maintenance reflected on Addendum B. 21. That St. Paul will perform the preventive maintenance work reflected on Addendum B at off-peak traffic hours. 22. That St. Paul will bill Oak Park Heights for Services rendered hereunder on a monthly basis detailing a description of the work involved; the labor and equipment used in the performance thereof, and the parts and materials furnished. 23. That labor charges will be billed by St. Paul at the wage it has established as adjusted, via collective bargaining with the various occupational groups who actually perform the work. Such wage rates will also be adjusted to reflect the cost of fringe benefits paid by St. Paul to those occupational groups who actually perform the work. Further, the wage rates and/or fringe benefits will be adjusted if the occupational groups are working holidays, are on overtime status or have been subject to callback as the case may be and as determined by the time when work is performed hereunder. The labor charges referenced shall commence at the time travel begins and terminate when travel ends for any task performed for Oak Park Heights hereunder. 24. That Oak Park Heights shall be billed for parts and materials at St. Paul's actual cost plus a markup of twenty percent (20%) to cover the costs of restocking, handling and operating expenses. 25. That in the event the controller unit of a traffic signal covered hereunder need shop repairs, St. Paul shall, in the interim, supply at no cost to Oak Park Heights a basic controller unit for the safe traffic flow of an intersection, but such controller need not be coordinated. 16. That St. Paul will keep a complete log of all work performed and shall for each call for service fill in the log-in sheet kept at an intersection. 17. That Oak Park Heights will provide a current timing sheet for each traffic signal covered hereunder and which shall be kept in the appropriate controller cabinet. • 18. That as to all preventive maintenance required under Addendum B and noted as to be performed by six-month intervals, such maintenance shall be performed between April 1 and May 15 of any calendar year and October 1 and November 15 of any calendar year. 19. That St. Paul will, besides the preventive maintenance reflected on Addendum B, perform a general survey of all of the traffic signals covered hereunder and submit a general report to Oak Park Heights on the condition of same. 20. That St. Paul will give twenty-four (24) hours advance notice prior to beginning any preventive maintenance reflected on Addendum B. 21. That St. Paul will perform the preventive maintenance work reflected on Addendum B at off-peak traffic hours. 22. That St. Paul will bill Oak Park Heights for Services rendered hereunder on a monthly basis detailing a description of the work involved; the labor and equipment used in the performance thereof, and the parts and materials furnished. 23. That labor charges will be billed by St. Paul at the wage it has established as adjusted, via collective bargaining with the various occupational groups who actually perform the work. Such wage rates will also be adjusted to reflect the cost of fringe benefits paid by St. Paul to those occupational groups who actually perform the work. Further, the wage rates and/or fringe benefits will be adjusted if the occupational groups are working holidays, are on overtime status or have been subject to callback as the case may be and as determined by the time when work is performed hereunder. The labor charges referenced shall commence at the time travel begins and terminate when travel ends for any task performed for Oak Park Heights hereunder. 24. That Oak Park Heights shall be billed for parts and materials at St. Paul's actual cost plus a markup of twenty percent (20%) to cover the costs of restocking, handling and operating expenses. 25. That Oak Park Heights will remit the sums payable to St. Paul within thirty (30) days after its receipt of same. 26. St. Paul and Oak Park Heights shall each indemnify and hold the other harmless from any and all claims, suits or damages resulting from or caused by any negligent act or omission, or any intentional tort of its respective employees, that may arise from the performance of this Agreement. 28. Adam Bruening, Lead Engineering Technician/Traffic, stopped out and reset the system. The light and opticom sensor are all functioning properly at this time. Mr. Bruening stated that he would do this at no charge this time, but, stated that the City should enter into an agreement for repairs with the County for this light. Mr. Bruening stated that they can not respond for repairs in the future unless we have a service agreement. His work phone is 430-4398.
