BOX 6 • STILLWATER, MN 55082 Assistant County Surveyor Phone 651.430.6875 Facsimile 651.430.6888 License No. QA0201 SOFTWARE LICENSE AGREEMENT Washington County hereby grants the CITY OF OAK PARK HEIGHTS a license for the Quick Access Software and related materials identified in paragraph 4 of this Agreement for use by the City. This license of the Quick Access Software and related materials is being provided to the City for a fee of$900.00 annually which includes current software, parcel and attribute data provided on a monthly basis. Washington County reserves the right to immediately terminate this license should the CITY OF OAK PARK HEIGHTS use the Quick Access Software and/or related materials for any use not permitted under this Agreement. This license is subject to the following terms and conditions: 1. The CITY OF OAK PARK HEIGHTS and its employees may use the Quick Access Interface and related materials to access the Washington County digital parcel maps database and create new and original electronic or hard copy products which the CITY OF OAK PARK HEIGHTS can use. However, the CITY OF OAK PARK HEIGHTS and its employees shall not reproduce or duplicate the Quick Access Interface in electronic form for sale, licensing or distribution in any manner. Furthermore, the City and its employees agree not to use the information included with Quick Access for non-government business purposes. The property owner's name and address and other information can NOT be sold for business purposes, if the business purpose consists of conducting surveys, marketing, or solicitation. (Pursuant to 1997 Minnesota Laws,Chapter 3,Section 27.) 2. THE COUNTY FURNISHES THE QUICK ACCESS INTERFACE ON AN "AS IS" BASIS AND DISCLAIMS ALL WARRANTIES EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. 3. The CITY OF OAK PARK HEIGHTS agrees to hold the County and all its agents and employees harmless from and indemnify the County, its agents and employees against any and all liability, claims, damage, loss and expense arising from the utilization of this Quick Access Interface by the CITY OF OAK PARK HEIGHTS and its employees. The Quick Access software is designed for use with the Washington County digital parcel map as previously licensed under a separate agreement dated 01114/97, and with associated parcel attribute information. If discrepancies are found in the digital parcel map, the City shall contact the Washington County Survey and Land Management Division. 5. The County's sole liability to the City and the City's exclusive remedy for any breach of this Agreement or for any defect in the Quick Access Software for the purpose stated herein shall be termination of this Agreement. 6. Either party has the right to terminate this Agreement at any time by giving the other party written notice. 7. Upon termination of this license the CITY OF OAK PARK HEIGHTS shall return the Quick Access Software and related materials in accordance with the following procedure: The CITY OF OAK PARK HEIGHTS shall return the Quick Access Software and related materials to the Washington County Survey and Land Management Division, along with written certification that the Software has been removed from its computer system or network. Washington County will pick up the Quick Access Software, related materials upon termination.
