This Memorandum of Agreement("Memorandum")dated ,20 ,evidences that a lease was made and entered into by a written Site
Agreement (the "Agreement") dated ,20_, between City of Oak Park Heights, a Minnesota
Municipal Corporation("City")and Sprint Spectrum L.P.,a Delaware limited partnership("Sprint PCS").
The Agreement provides in part that City leases to Sprint PCS certain real property owned by City and located at the Northwest comer of the intersection at Nowell
Avenue and 58t Street,City of( PakH ts,Cou tyefWas n,State ofMinnesota,together with reasonable access thereto,for placement of an underground
grounding system,and for access to the appropriate source of electric and telephone facilities(the"Site"). The Site is further described in Attachment#1 attached
hereto. The term of the Agreement is 5 years commencing on ,20_,which term is subject to three(3) additional 5-year extensions that may be
exercised by Sprint PCS and subject to terms of Site Agreement

PROPOSED LEASE AREA
That part of OUTLOT B,BRACKEY ADDITION,according to the recorded plat thereof,Washington County,Minnesota,desribed
as follows:
Commencing at the southeast corner of OUTLOT B,BRACKEY ADDITION,thence on an assumed bearing of South 89 degrees 45

NOW THEREFORE, the condition of this obligation is such, that if the above bounden Principal shall
perform in accordance with the aforesaid ordinance and/or agreement, and indemnify the Obligee against all loss
caused by Principal's breech of any ordinance or agreement relating to maintenance, replacement, removal or
relocations of a tower or structure, then this obligation shall be void, otherwise to remain in full force and effect
unless cancelled as set forth below.
THIS BOND may be cancelled by Surety by giving thirty (30) days written notice to the Obligee by
registered mail. Such cancellation shall not affect any liability the Surety may have or incurred under this bond
prior to the effective date of the termination. Provided that no action, suit or proceeding shall be maintained
against the Surety on this bond unless action is brought within twelve (12) months of the cancellation date of this
bond.
