Call to Order/Pledize of Allegiance/Approval of Agenda: Mayor McComber called the meeting to order at 7:00 p.m. Present: Councilmembers Dougherty, Liljegren, and Runk. Staff present: City Administrator Johnson, City Attorney Vierling, Finance Director Caruso, and Public Works Director Kegley. Absent: Councilmember Swenson, City Planner Richards, and City Engineer Mlejnek. Mayor McComber added"Appoint Park Commissioners"to the Consent Agenda as Item F. Councilmember Runk, seconded by Councilmember Dougherty,moved to approve the Agenda as amended. Carried 4-0. II. Council/Staff Reports: A. Mayor McComber: She reported that the Parks Commission met on January 26 and held a worksession on the Oak Park Crossing Park master plan, and the next meeting was set for February 23 at 7:00 p.m. She also reported that she was appointed to the small cities and transportation committees for NLC, and she was attending the Experienced Elected Officials conference on January 30. B. Councilmember Dougherty:No report. C. Councilmember Liljegren: No report. D. Councilmember Runk: No report. E. Councilmember Swenson: Absent. F. Staff: Deputy Clerk Pinski reported that Mark McElligott of 5755 Newgate Avenue North was chosen as the recycling award winner. III. Visitors/Public Comment: None IV. Consent Agenda: A. Roll call vote taken. Carried 4-0. V. Public Hearings None VI. Old Business: A. St. Croix River Crossing Project Update: No updates. B. Street Reconstruction—Area D—Update: City Administrator Johnson reported that the City of Stillwater expressed that they have no financial capacity to participate in 2015. He stated that after meeting with Shawn Sanders of the City of Stillwater and Oak Park Heights City Engineer Mlejnek,they have a solution for Panama Avenue, Paris Avenue, and 62' Street because the large property owners on those streets would be able to make assessment payments up front. Johnson reported that Sanders said there would be a feasibility study on February 3. He reported that he did not know when Stillwater would be ready for Osman Avenue, Ozark Avenue, 60 Street and 65"Street. He said staff was still working on that with the City of Stillwater Johnson reported that a new schedule was proposed which shifted everything back about two weeks. Councilmember Dougherty, seconded by Councilmember Liljegren,moved to approve revised schedule, direct staff to negotiate a revised Cooperative Agreement with the City of Stillwater, direct staff to write a letter to Stillwater City Council asking them to include 65' Street in the project, and once an answer is received, write a letter to property owners. Carried 4-0. VII. New Business: A. Consider Street Assessment Abatement—D. Corblick—Area E: Mayor McComber noted she was abstaining from discussion on the item. City Administrator Johnson reported that the City received a request from resident Doug Corblick of 15451 58th Street for an abatement in the amount of$1,579.25 due to a change in residence resulting in changes to homesteading classifications. The Council discussed the matter and no action was taken. B. Consider Adoption of Policies: Councilmember Dougherty, seconded by Councilmember Liljegren,moved to adopt the policies as presented at the council meeting. Wall Removal—City Hall Conference Rooms: Councilmember Runk, seconded by Councilmember Dougherty,moved to approve construction of a new opening between the two conference rooms as outlined in the memo. Carried 4-0. D. Oak Park Heights—A Twenty Year Vision Conc t: Councilmember Dougherty suggested the City Council discuss ideas before an RFP was drafted. Mayor McComber, seconded by Councilmember Liljegren, moved to set a worksession for February 10 at 6:00 p.m. Carried 4-0. E. St. Croix River Crossing—Resolution Related to City Costs and Reimbursements: Councilmember Runk, seconded by Councilmember Liljegren,moved to approve the Resolution as presented. Background/Justification(Please indicate if any previous action has been taken or if other public bodies have advised): As discussed at recent teambuilding session,the City has much to be proud of and I would like the Council to consider allowing Staff to spend the time to submit an application to the League of Minnesota Cities for a Cities of Excellence Award. Background/Justification(Please indicate if any previous action has been taken or if other public bodies have advised): The City has received a request from the Hostelling International USA group that operates the Iron Man Bicycle Ride. This year,this event is hoped to take place in the St. Croix Valley, moving through Oak Park heights and the surrounding areas on Sunday April 26h,2015. It is estimated that 4,000 riders would take part in the various loops. This event is not a race,but rather a participatory ride. Hostelling International USA has provided a detailed letter explaining their proposal. This group has operated in the City for the last few years without issue or incident. Attached is a draft agreement that should satisfy City concerns,including garbage clean-up, emergency planning,rest-stops and rider safety. A request for funds of the standard$1,000 escrow and$500 impact fee will need to be paid prior to signing by the City of the Permit Agreement. Requested Action: Authorize event to be held within the City and authorize staff to work with the applicant to finalize the Agreement subject to the final terms and conditions as may be required by the Chief of Police and City Administrator 24 of 93 CITY OF OAK PARK HEIGHTS—MINNESOTA IRONMAN BICYLE RIDE AGREEMENT—2015 THIS AGREEMENT is made this th day of , 2015 between the CITY OF OAK PARK HEIGHTS, Washington County, Minnesota ("City"), and the American Youth Hostels, Inc.,a 501(c)(3)non-profit corporation,hereafter referred to "AYH". RECITALS 1. The City hereby authorizes AYH to route the "2015 Minnesota Ironman Bicycle Ride"("Ride")through the city in order to foster and promote tourism/commerce within the City and the St. Croix River Valley. The Ride route will be signed on Friday April 20 and/or Saturday,April 25,2015 and held on Sunday,AprU 26,,20 IS. 2. Ride Routes. (See Map—"Exhibit A") AYH shall provide all final route maps to the City not later than April 1 st, 2015. No route deviations shall occur in the City without the prior approval of the Chief of Police. 3. Fees. AYH will pay to the City an impact fee of$500. This fee and required escrow (see Section 8) shall be remitted to the City by April 1, 2015. If the amounts are not received by April 1, 2015 the Ride will not be permitted to be run in the City and this Agreement shall be void. The $500 impact fee may be reimbursed to AYH by the sole discretion of the City Council if the Council determines that the AYH is a benevolent, charitable organization whose purpose in conducting this event is to raise funds for charitable purposes. This reimbursement request must be made to the City prior to Dec 31 st, 2015 with documentation provided that such event meets the City defined criteria 25 of 93 4. Rider/Traffic Control. The identified critical route intersections within the City of Oak Park Heights will be controlled by Sheriff Personnel. There shall be no City Police involved in the management or monitoring of the race route. In addition,homes on the course shall receive a direct mailing from AYH, not later than April 1st, 2015 informing them of specific Ride times and will be given a direct "Ironman Rideline" number to reach on Ride day; such number will be staffed from 6:30am through 5:00pm on the day of the event. 5. Sianaye: All route signs will be removed by AYH no later than 10:OOpm. the day of the Ride. 6. Garbage and Rubbish Removal. All garbage and refuse generated by the Ride, including that left by spectators, will be removed properly and disposed of by sundown on the day of the Ride by AYH staff and volunteers. AYH will be responsible to reimburse the City for any subsequent cleaning determined to be necessary by the City as a result of the Ride. 7. Insurance Hold Harmless and jq&mm fty. AYH agrees to indemnify and hold harmless the City with regard to any claims, causes of action or demands that might be brought against the City arising out of the events authorized by this Agreement; and further, AYH agrees to provide to the City evidence of insurance coverage of at least $1,500,000 of combined single limits covering claims that might be brought against them that arise out of the events authorized by this Agreement and to name the City as an additional insured on their policy. This proof of insurance shall be provided to the City Administrator not later than April 1 st, 2015. 8. City Costs. AYH must reimburse the City for all costs incurred by the City to allow such Ride, including but not limited to City Police Department,Public Works Department, 2 26 of 93 Fire Department and as needed to safely conduct the Ride as agreed herein. A refundable escrow deposit of$1,000.00 shall be made to the City by AYH no later than April 1, 2015. This amount shall serve as a security to the City and shall be reimbursed to AYH at such time AYH pays to the City all fees or costs incurred by the City and/or penalties due. The City shall invoice AYH within 30 days of the Ride for all City costs incurred for the Ride. 9. Term. The term of this Agreement is for six-months unless terminated earlier by the City. In the period immediately following the Ride, the City agrees to meet and confer with AYH, in order to evaluate the impact of the Ride on the community. If the evaluation reveals a positive impact on the community,the City agrees to consider subsequent contracts. 10. MNDOT / WaEhWgjqn Cgpn1y. This Agreement shall become immediately void and AYH may not hold the Ride in the City unless and until it provides a copy of its written permission/agreement document from both the State of Minnesota and Washington County. Copies of these documents must be provided to the City not later than 4:00 pm April 1, 2015. Failure to provide these documents by such date and time will result in the automatic revocation of this permit. Upon the receipt of these documents, these documents shall be affixed to this Agreement as"Exhibit B". 11. Penalties. Failure on the part of AYH to comply with any specific or general provisions of this Agreement, including the providing of the required documents and actions may result in the City implementing monetary penalties in the amount of$200.00 for each violation and/or the City revocation of AYH's permission to hold this Ride within the City. The City will provide written notice to AYH for each violation and will bill AYH for such violation, holding any escrow as security until payment is made in full. The City may also conclude, through the 3 27 of 93 decision of the Chief of Police that AYH has not provided the required documentation and in the required timelines and the City may then revoke the permission to hold the bide within the City limits, as determined by the Chief of Police. It remains AYH's responsibility to provide the required documents in a fashion wholly consistent with the dates stated in this Agreement. 12. Joint-Use. This Agreement does not provide AYH with sole permission to utilize the City streets and right-of-ways along the approved route. AYH and its event participants are obligated to use extreme caution while participating and executing this event. Unless explicitly stated herein, no authority is granted to AYH to preclude any other use of public thoroughfares by the traveling public. 13. Emergency Operations Plan. AYH shall have a written Emergency Operations Plan and shall be provided to the City not later than April I st, 2015. Failure to provide the City with a reasonable and professional Emergency Operations plan shall result in the City not permitting the ride to move through the City. The Emergency Operations Plan shall be affixed here to as"Exhibit C." 14. The City makes no warranty that the route and/or roads selected by AYH are in a condition that best suits this planned event. The City maintains its roadways consistent with the minimum standards as required by law. The use of all such roadways is non-exclusive and all riders shall obey all traffic laws. WORKS QUADRANT OF THE CITY OF OAK PARK HEIGHTS DIVISION DEPT. PUBLIC ENGINEERING / TERM SIGNATURE TO C ✓ , THIS AGREEMENT, by and between the O of k eights, a municipal corporation, herein after referred to as the "OPH", and the City of Stillw , a pal corporation, hereinafter referred to as the "Stillwater", shall consist of this agreement. WITNESSETH: WHEREAS, Stillwater and the OPH desire to improve safety, capacity, and operation of certain municipal street on their common border which are identified in the attached Exhibit"A"; and WHEREAS,the OPH has prepared plans and specifications for the re-construction of street,replacement and or rehabilitation of municipal utilities, storm sewer and related improvements; and WHEREAS, OPH shall advertise and receive sealed bids and award the project to the lowest responsible bidder as authorized under Minn. Stat. 429.031 et seq. and anticipates awarding and executing a construction contract in late 2014 or early 2015 for the areas to be impacted by this agreement;and WHEREAS, the OPH desires to modify said plans and specifications to add similar improvements for streets shared in common with the City of Stillwater along their common border;and WHERES, the City of Stillwater agrees to have OPH do the construction of street and municipal utility improvements over streets within Stillwater's jurisdiction under the contracts that OPH will have for the balance of OPH's street and municipal utility improvements; and WHEREAS, Stillwater shall remit to the City of OPH costs related to improvements to Stillwater Streets as part of this project;and WHEREAS, this Agreement is made pursuant to statutory authority contained in Minnesota Statute 471.59 NOW THEREFORE,IT IS HEREBY MUTUALLY AGREED AS FOLLOWS: A. PURPOSE The purpose of this agreement is set forth in the above whereas clauses which are all incorporated by reference as if fully set forth herein. B. PLANS AND SPECIFICATION PREPARATION 1. The OPH shall be responsible for the preparation of the necessary plans and specifications, including compliance with all applicable standards and policies and obtaining all approvals required in arriving at the specifications Street and Utility improvements for the streets shared in common with the City of Stillwater. OPH shall cooperate with Stillwater to incorporate specifications and elements desired by Stillwater for its improvements to areas within Stillwater jurisdiction. The Stillwater Engineer will review and approve the plans and specifications developed by OPH for the streets shared by both communities along their common border and for those areas exclusively within Stillwater. 3. The following OPH and Stillwater project numbers have been assigned to the project: OPH ; Stillwater C. CONSTRUCTION ADNIINISTRATION,OBSERVATION,AND TESTING OPH shall be responsible for the construction administration, inspection, and for the observation and testing for all construction items. D. COST PARTICIPATION 1. OPH is responsible for 100% of the construction costs, including administration, inspection, observation and testing for all construction items associated with areas within its jurisdiction and %2 of the costs for the common or shared streets along the OPHIStillwater border. OPH shall be exclusively responsible for utility replacement or rehabilitation to properties within its jurisdiction. Stillwater shall be exclusively responsible for utility replacement or rehabilitation to properties within its jurisdiction. 2. Stillwater is responsible for 100%of the construction costs, including administration, inspection, and observation and testing for all construction items associated with areas within its jurisdiction and '/2 of the costs for the common or shared streets along the OPH/Stillwater border. Stillwater shall be exclusively responsible for utility replacement or rehabilitation to properties within its jurisdiction. & PAYMENT 1. OPH will invoice the Stillwater for the actual construction and other permitted or agreed upon amounts due after the expense has been incurred payable within 60 days from the date of invoice. 2. The construction cost to be paid by Stillwater to OPH shall be based on contract unit prices and actual units of work performed. The construction administration, inspection, observation and testing costs to be paid to the OPH by Stillwater include, but are, not limited to, contractcd professional engineering scrviws and OPH administration(finance and billing)labor rates. F. LIQUIDATED DAMAGES&CHANGE ORDERS Any liquidated damage assessed the contractor in connection with the work performed on the project shall be shared by the OPH and the Stillwater in the following proportion: The respective total share of construction work to the total construction cost without any deduction for liquidated damages. OPH shall not initiate or approve any change orders impacting work done on behalf of Stillwater under this contract without the express written approval of Stillwater. Stillwater may not seek any change orders that impact work, pricing or timing on OPH elements under this contract without the express written approval of OPH. G. CIVII,RIGHTS AND NON-DISCREWPiATION The provisions of Minn. Stat. 181.59 and of any applicable ordinance relating to civil rights and discrimination shall be considered part of this Agreement as if fully set further herein, and shall be part of any Agreement entered into by the parties with any contractor subcontractor,or material suppliers. WORKERS COMPENSATION It is hereby understood and agreed that any and all employees OPH and all other persons employed by the OPH in the performance of construction and/or construction engineering work or services required or provided for under this agreement shall not he considered employees of the Stillwater and that any and all claims that may or might arise under the Worker's Compensation Act of the State of Minnesota on behalf of said employees while so engaged and any and all claims made by any third parties as a consequence of any act or omission on the part of said Stillwater employees while so engaged on any of the construction and/or construction engineering work or services to be rendered herein shall in no way be the obligation or responsibility of the Stillwater. L INDEMNIFICATION 1. The OPH agrees that it will defend, indemnify and hold harmless the Shllwater against any and all liability, loss, damages, costs and expenses which the Stillwater may hereafter sustain, incur or be required to pay by reason of any negligent act by the OPH, its agents, officers or employees during the performance of this agreement. 2. The Stillwater agrees that it will defend, indemnify and hold harmless the OPH against any and all liability, loss, damages,costs and expenses which the OPH may hereafter sustain, incur or be required to pay by reason of any negligent act by the Stillwater, its agents, officers or employees during the performance of this agreement. 3. To the fullest extent permitted by law, action by the parties to this Agreement are intended to be and shalt be construed as a "cooperative activity" and it is the intent of the parties that they shalt be deemed a "single governmental unit" for the purposes of liability, as set forth in Minnesota Statutes, Section 471.54, subd. la (a), provide further that for purposes of that statute, each parry to this Agreement expressly declines responsibility for the acts or omissions of another party. The parties to this Agreement are not liable for the acts or omissions of another party to this Agreement except to the extent they have agreed in writing to be responsible for the acts or omissions of the other parties. J. TERM OF AGREEMENT This agreement shall remain in full force and effect until the improvements along the common border of OPH and Stillwater outlined in Exhibit A are completed. K. However,prior to that process,the Park Commission would like the City Council to review the merits of the current draft and possibly indicate if the layout generally meets the ideas as initially considered. Please see the attached Plans. A few key Points: 1. The Project would be broken up in to two phases and could be INDEPENDENT of each other: Phase —Generally the West End--with Splash Pads, Park Shelter and Trails Connections Cost+/-$1,000,000 Phase II—Generally"Ball Fields"and East End Hockey Rink Improvements.This phase would likely require some significant partnerships with other baseball/softball/soccer organizations Cost+1-$1,300,000 2. Xcel Staff have participated in the development of the Plan and while they have focused on remaining neutral as to the desires on the use of the property;Xcel has been outwardly supportive of the efforts the City has undertaken. 3. Preliminary meetings with the MPCA have demonstrated that there do not appear to be unreasonable permitting or site concerns that would generally prevent this concept from being implemented. If the overall concept is acceptable to the Council;the Park Commission will initiate some further public hearings and neighborhood meetings.The reality of the timing is construction would not begin until late 2015 or early 2016 depending on final plan and elements.
